Proxies

(1)

A member of a company registered under section 8 shall not be entitled to appoint any other person as his proxy unless such other person is also a member of such company.

(2)

A person can act as proxy on behalf of members not exceeding fifty and holding in the aggregate not more than ten percent of the total share capital of the company carrying voting rights :

Proviso

Provided that a member holding more than ten percent of the total share capital of the Company carrying voting rights may appoint a single person as proxy and such person shall not act as proxy for any other person or shareholder.

(3)

The appointment of proxy shall be in the Form No. MGT.11 .

“ voting right ” means the right of a member of a company to vote in any meeting of the company or by means of postal ballot
