MGT-15 is due within 30 days of the conclusion of the annual general meeting. Only a listed public company files it: section 121(1) is expressly limited to that class. The report is prepared in addition to the minutes and must confirm that the meeting was convened, held and conducted as the Act and the rules require.

Before you file

  • Prepare the report in addition to the minutes of the meeting.
  • Record the day, date, hour and venue of the meeting.
  • Record the confirmation of the Chairman's appointment and of the quorum.
  • Record the number of members who attended.
  • Record the confirmation that the Act, the rules and the secretarial standards were complied with in calling, convening and conducting the meeting.
  • Record the business transacted and the result of each item.
  • Record any adjournment, postponement or change of venue.
  • Get the report signed and dated by the Chairman of the meeting, or, if he cannot sign, by two directors of whom one is the managing director if there is one, and by the company secretary.

How to file

  2. 2Open Form MGT-15.
  3. 3Enter the date of conclusion of the annual general meeting.
  4. 4Enter the particulars of the meeting and of the business transacted.
  5. 5Attach the signed report on the annual general meeting.
  6. 6Sign the form with the digital signature of an authorised signatory.
  7. 7Pay the filing fee.
  8. 8Submit the form within 30 days of the conclusion of the meeting.

If you miss it

Section 121(3) charges the company ₹1 lakh, plus ₹500 for each day the failure continues after the first, capped at ₹5 lakh. Every officer in default pays not less than ₹25,000, plus ₹500 a day, capped at ₹1 lakh. These are the figures as substituted by the Companies (Amendment) Act, 2019.

  • The report is the company's own confirmation that the meeting was validly convened, held and conducted, so its absence from the record leaves that confirmation unmade

Common questions

Do unlisted companies file MGT-15?

No. Section 121(1) applies to every listed public company and to no one else.

Is MGT-15 the same as the minutes?

No. Rule 31(1)(a) requires the report to be prepared in addition to the minutes, and it carries confirmations the minutes do not.

Which portal handles MGT-15?

MCA21 V3, live from 14 July 2025 in Lot-3. It was the last form in this family to migrate.
