SUMMARY OF THE PROPOSED COMBINATION Summary in terms of Regulations 13 (1A) of the Competition Commission of India (Procedure in regard to the transaction of business relating to combinations), 2011 (as amended) A. Name of the parties to the combination 1. The names of the parties to the combination are: (a) Applied Materials South East Asia Pte. Ltd. (“Acquirer”); and (b) VVDN Technologies Private Limited (“Target”). (The Acquirer and the Target are collectively referred to as the “Parties”) B. The nature and purpose of the combination Nature of the Proposed Transaction 2. The proposed combination contemplates the acquisition of minority equity stake in the Target by the Acquirer through primary and secondary transactions (“Proposed Transaction”). Purpose of the Proposed Transaction 3. Acquirer: The Target has displayed considerable growth potential and is on track to become a key player in the Indian Electronic Manufacturing Services (“EMS”) / Original Design Manufacturing (“ODM”) market. The investment is seen as financially attractive for the Acquirer due to the growth prospects and potential for substantial returns. 4. Target: The Target intends to use the proceeds from the Proposed Transaction to create additional capacity and capabilities for the Target, which would in turn help the Target to provide a better, wider and larger range of products / services to potential customers in the EMS / ODM segment. C. The products, services, and business(es) of the Parties to the combination 5. A brief description of the Parties is provided below: (a) Acquirer: The Acquirer is a Singapore-based private limited company and is a step-down subsidiary of Applied Materials, Inc. The Acquirer develops, manufactures, and markets equipment, services, and software for manufacturing advanced semiconductor devices, flat panel displays, and solar panels, and provides equipment to foundries and chip companies for the fabrication and manufacturing of chips. (b) Target: The Target is a private limited company based out of India. The Target is engaged in the business of providing EMS and ODM services. The Target provides its EMS/ ODM services to both domestic and global customers. D. Respective markets in which the parties to the combination operate 6. Given that the Acquirer and the Target are engaged in different markets, there are no horizontal, vertical and complementary overlaps between the activities of the Parties in India. Accordingly, absent any horizontal, vertical or complementary overlaps between the business activities of the Parties (including their subsidiaries/affiliates), the Proposed Transaction does not raise any risk of an appreciable adverse effect on competition in any relevant market(s) in India. 7. Therefore, the Proposed Transaction is being notified under the green channel route in terms of Regulation 5A and Schedule III of the Competition Commission of India (Procedure in regard to the transaction of business relating to combinations) Regulations, 2011 (as amended). *****
