Summary of the Proposed Transaction [In terms of Regulation 13(2) of the Competition Commission of India (Combinations) Regulations, 2024]

A. Name of the parties to the combination:

Parties to the combination are: (i) Dhilmar Ltd. (through its indirectly wholly owned special purpose vehicles Dhilmar QLD Pty Ltd and Dhilmar QLD Assets Pty Ltd) (Acquirers); and (ii) Anglo American Australia Limited, Moranbah North Coal Joint Venture, Moranbah North Coal (Sales) Pty Ltd, Anglo Coal (Moranbah North Management) Pty Limited, Anglo Coal (Grosvenor Management) Pty Ltd (Targets). The Acquirers and Targets together are referred to as Parties.

B. Nature and purpose of the combination:

The Proposed Transaction pertains to the acquisition of Anglo American Plc’s steelmaking coal portfolio by the Acquirers. (Proposed Transaction).

C. Area of activity of the Parties to the combination:

Acquirers: Dhilmar Ltd. is a UK-based mining company that owns and operates the Éléonore Gold Mine in Northern Quebec, Canada, a high-grade underground gold mine. Dhilmar QLD Pty Ltd and Dhilmar QLD Assets Pty Ltd are indirectly and wholly owned special purpose vehicles of Dhilmar Ltd. incorporated in Queensland, Australia.

Targets: The Targets comprise Anglo American’s steelmaking coal portfolio in Australia. The Targets’ primary products are premium hard coking coal, semi- soft coking coal, pulverised coal injection coal, and thermal coal, which are sold to steelmakers in Asia (including Japan, Korea, India, China, Brazil, Taiwan), and Europe.

D. Green Channel Notification:

The Proposed Transaction is being filed under Section 6(4) of the Competition Act, 2002 read with Rule 3 of the Competition (Criteria of Combination) Rules, 2024 as the Parties exhibit no existing or potential horizontal, vertical or complementary overlaps in India.
