Summary in terms of Regulation 13(2) of the Competition Commission of India (Combinations) Regulations, 2024 A. Name of the parties to the combination 1. The parties to the proposed transaction are: (a) Dixon Technologies (India) Limited (“DTIL/Acquirer”); and (b) Kunshan Q Tech Microelectronics (India) Private Limited (“Q Tech India/Target”). The Acquirer and the Target are collectively referred to as the “Parties”. B. Nature and purpose of the combination 2. The “Proposed Transaction” involves DTIL’s acquisition of an aggregate 51% of the paid-up share capital of the Target by way of a share purchase from existing shareholder of the Target and share subscription of shares issued by the Target. C. Products, services and business(es) of the parties to the combination Acquirer 3. DTIL is a public listed company engaged in the business of Electronics Manufacturing Services (“EMS”). It provides such services for a diversified range of products, which includes communication devices like smart phones, features phones as well as laptops and tablets. In addition to communication devices, DTIL also provides EMS for lighting solutions, television, washing machines, hearables, PCBs for air conditioners, telecom and networking products. Target 4. The Target belongs to the Q Tech Group. It is engaged in the business of manufacturing and supply of camera module and fingerprint module, primarily for smartphones in India. D. Respective markets in which the parties to the combination operate 5. There are no horizontal overlaps, vertical or complementary relationships between the activities of the Parties, in India. Accordingly, the Proposed Transaction does not raise any risk of appreciable adverse effect on competition in India. E. Green Channel Route 6. Given that there are no horizontal overlaps, vertical or complementary relationships between the activities of the Parties in India, the Proposed Transaction is being filed under the Green Channel route with the Hon’ble Competition Commission of India in accordance with Section 6(4) of the Competition Act, 2002 (as amended) read with Rule 3 of the Competition (Criteria of Combination) Rules, 2024.
