The proposed transaction relates to Bosch’s proposed acquisition of sole control over JCI’s residential and light commercial heating, ventilation and air-conditioning (HVAC) business, including JCH, a joint venture between JCI and Hitachi Limited (Proposed Transaction). The residential and light commercial HVAC business of JCI, including JCH, is together referred to as the Target Business.
The Proposed Transaction is an acquisition notifiable to the Hon’ble Commission under Section 5(a)(i) of the Competition Act, 2002.
