SUMMARY UNDER REGULATION 13 (2) OF THE COMPETITION COMMISSION OF INDIA (COMBINATION) REGULATIONS, 2024 A. Name of the parties to the combination 1. The parties to the combination are— (i) Robert Bosch GmbH (Bosch); (ii) Johnson Controls International plc (JCI); and (iii) Johnson Controls-Hitachi Air Conditioning Holding (UK) Limited (JCH). 2. Bosch, JCI and JCH are collectively referred to as the Parties. B. Nature and purpose of the Combination 3. The proposed transaction relates to Bosch’s proposed acquisition of sole control over JCI’s residential and light commercial heating, ventilation and air-conditioning (HVAC) business, including JCH, a joint venture between JCI and Hitachi Limited (Proposed Transaction). The residential and light commercial HVAC business of JCI, including JCH, is together referred to as the Target Business. 4. The Proposed Transaction is an acquisition notifiable to the Hon’ble Commission under Section 5(a)(i) of the Competition Act, 2002. C. Products, services and businesses of the Parties to the Combination Bosch 5. Bosch is a private, globally active supplier of technology solutions for a wide variety of industries, headquartered in Gerlingen, Germany. Its activities globally are organized in four business divisions: (i) Mobility Solutions, (ii) Industrial Technology, (iii) Consumer Goods, and (iv) Energy and Building Technology. Within the business division of Energy and Building Technology sits Bosch Home Comfort, which offers a wide range of solutions for heating, cooling, and home comfort. Bosch Home Comfort Division does not offer heating and cooling solutions in India. JCI 6. JCI, headquartered in Cork, Ireland, is a public multi-industrial company active in engineering, manufacturing and commissioning building products and systems, including residential and commercial HVAC equipment, industrial refrigeration systems, controls, security systems, fire-detection systems and fire-suppression solutions. JCH 7. JCH, headquartered in Tokyo, Japan, was established in 2015 as a JV between Hitachi and JCI. JCH manufactures home appliances and specializes in air conditioning and cooling technology. D. The Relevant Market(s) in which the Parties to the Combination operate 8. There are no horizontal overlaps, vertical or complementary relationships between the activities of the Parties, in India. E. Green channel route 9. Given that there are no overlaps, the Proposed Transaction does not raise any risk of appreciable adverse effect on competition in India. 10. Therefore, the Proposed Transaction is being filed under the Green Channel route with the Hon’ble Competition Commission of India in accordance with Section 6(4) of the Competition Act, 2002 read with Rule 3 of the Competition (Criteria of Combination) Rules, 2024. *************
