This framework establishes the requirements for Infrastructure Investment Trusts (InvITs) to issue depository receipts (DRs) on their units in permissible jurisdictions. InvITs must comply with SEBI regulations, and the DRs must list on specified international exchanges. The Investment Manager must appoint a merchant banker to oversee compliance and ensure that DR holders are not residents of India. The framework sets pricing rules, requires unitholder approval for fresh DR issues, and mandates that the Investment Manager file disclosures with recognized stock exchanges. Domestic custodians and Indian depositories must track unit transactions and outstanding DRs. These provisions apply to all InvITs, parties to InvITs, and relevant market intermediaries effective immediately.
