(1) इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट) जिजियम, 2025 कहा िा सकेगा । (2) ये जिजियम रािपत्र में इिके प्रकाजित होिे की तारीख से लागू होंगे । पररभाषाएँ 2. (1) इि जिजियमों में जिि िब्िों आदि की पररभाषाएँ िी गई हैं, उिका अथड तब तक जिम्नाि सार ही रहेगा, िब तक दक उिका संिभड क छ और ि हो, और उिके िैसे िब्िों तथा ऐसे जिि िब्िों के रूप क छ बिल गए हों उिका अथड तिि सार लगाया िाएगा,- (क) “अजधजियम” का अथड है - भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम, 1992 (सेबी एक्ट, 1992) [1992 का 15]; (ख) "कायों आदि" का अथड है - िे कायड आदि, िो इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिजियम 2 के उप- जिजियम (1) के खंड (ट) के अि सार कर सकेगा; (ग) “बोडड” का अथड िही है, िैसी पररभाषा अजधजियम की धारा 2 की उप-धारा (1) के खंड (क) में िी हुई है; (घ) “कंपिी” (बॉडी कारपोरेट) का अथड िही है, िैसी पररभाषा कंपिी अजधजियम, 2013 (2013 का 18) की धारा 2 की उप-धारा (11) में िी हुई है; (ङ) “प्रमाणपत्र” का अथड है – बोडड द्वारा इि जिजियमों के तहत प्रिाि दकया गया रजिस्ट्रीकरण प्रमाणपत्र; (च) “जियंत्रण में पररितडि”, का अथड, कंपिी (बॉडी कारपोरेट) के मामले में,- (क) यदि उसके िेयर दकसी मान्यताप्राप्त स्ट्टॉक एक्सचेंि में सूचीबद्ध (जलजस्ट्टड) हों, तो अजधजियम की धारा 11 की उप-धारा (2) के खंड (ि) के तहत बिाए गए जिजियमों में िी हुई जियंत्रण की पररभाषा के संिभड में लगाया िाएगा; (ख) यदि उसके िेयर दकसी भी मान्यताप्राप्त स्ट्टॉक एक्सचेंि में सूचीबद्ध (जलजस्ट्टड) ि हों, तो कंपिी अजधजियम, 2013 (2013 का 18) की धारा 2 की उप-धारा (27) में िी हुई जियंत्रण की पररभाषा के संिभड में लगाया िाएगा; (छ) “फॉमड” का अथड है - अि सूची-I में दिया हुआ फॉमड; (ि) "जिरीिण प्राजधकारी" का अथड है - अध्याय-V के तहत प्रिाि की गई िजियों का प्रयोग करिे के जलए बोडड द्वारा जिय ि एक या एक से ज्यािा व्यजि; (झ) “इश्यू” (जिगडम) का अथड िही है, िैसी पररभाषा भारतीय प्रजतभूजत और जिजिमय बोडड (मचेंट बैंककार) जिजियम, 1992 [सेबी (मचेंट बैंकसड) रेग्यूलेिन्स, 1992] में इसके जलए िी हुई है; (ञ) "म ख्य अजधकारी” (प्प्रंजसपल ऑदफसर) का अथड है - (i) दकसी कंपिी (बॉडी कारपोरेट) के संबंध में – पाटडिर (भागीिार) या प्रबंधक (मैिेिर) या जििेिक (डायरेक्टर); या (ii) कंपिी (बॉडी कारपोरेट) के प्रबंधि या संचालि से ि ड़ा ऐसा कोई व्यजि, जिसे कंपिी (बॉडी कारपोरेट) के बोडड िे म ख्य अजधकारी माििे के अपिे जिणडय की सूचिा (िोरटस) िे िी हो; [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 (ट) “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” का अथड है - िह कंपिी (बॉडी कारपोरेट) या ऐसी कंपिी (बॉडी कारपोरेट) का कोई प्रभाग (जडजिज़ि) या यूजिट, जिसे जिम्नजलजखत कायड आदि करिे के जलए जिय ि दकया गया हो – (i) इजिजियल पजब्लक ऑफर (आई.पी.ओ. / आरंजभक सािडिजिक प्रस्ट्ताि), फॉलो-ऑि पजब्लक ऑफर (एफ.पी.ओ. / बाि िाला सािडिजिक प्रस्ट्ताि), ओपि ऑफर (ख ला प्रस्ट्ताि), िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) के बायबैक (को क्रय द्वारा िापस लेिे), डीजलप्स्ट्टंग ऑफर (असूचीबद्धता संबंधी प्रस्ट्ताि), टेकओिर (अजधग्रहण) के जसलजसले में और इश्यू या कारपोरेट एक्िि से ि ड़े दकसी कायड आदि [िो बोडड या स्ट्टॉक एक्सचेंिों या जडपॉजिटरी (जििेपागारों) द्वारा बताया िाए] के जसलजसले में इंटरमीजडयरी (मध्यिती) के तौर पर दकए िािे िाले कायड; (ii) ऐसी कंपिी (बॉडी कारपोरेट) द्वारा जिि धारकों (होल्डसड) को िेयर आदि (जसक्यूररटीज़ / प्रजतभूजतयाँ) इश्यू दकए गए हों उिका ररकॉडड रखिे से ि ड़े कायड और ऐसे िेयरों आदि में दकए िािे िाले लेििेि (रांज़ेक्िि) से संबंजधत सभी मामलों से ि ड़े कायड; (ि) “स्ट्टॉक एक्सचेंि” का अथड है - िह स्ट्टॉक एक्सचेंि, जिसे प्रजतभूजत संजििा (जिजियमि) अजधजियम, 1956 (जसक्यूररटीज़ कॉण्टैक््स रेग्यूलेिि एक्ट, 1956) [1956 का 42] की धारा 4 के तहत केन्रीय सरकार से या बोडड से मान्यता जमली हुई हो । (2) इि जिजियमों (रेग्यूलेिन्स) में उपयोग दकए गए तथा अपररभाजषत, ककंत अजधजियम (एक्ट), कंपिी अजधजियम, 2013, प्रजतभूजत संजििा (जिजियमि) अजधजियम, 1956 [जसक्यूररटीज़ कॉण्रैक््स (रेग्यूलेिि) एक्ट, 1956], जििेपागार अजधजियम, 1996 (जडपॉजज़टरीज़ एक्ट, 1996) या उिके तहत बिाए गए दकन्हीं जियमों या जिजियमों (रेग्यूलेिन्स) में पररभाजषत िब्िों आदि के िही अथड होंगे, िो, यथाजस्ट्थजत, उि अजधजियमों, उिके तहत बिाए गए जियमों या जिजियमों या उिमें दकए गए दकसी कािूिी संिोधि आदि में उिके जलए दिए हुए हैं । अध्याय – II इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का रजिस्ट्रेिि (रजिस्ट्रीकरण) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में रजिस्ट्रेिि 3. कोई भी व्यजि इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में तब तक कोई कायड िहीं करेगा, िब तक दक िह इि जिजियमों के तहत बोडड से रजिस्ट्रीकरण प्रमाणपत्र प्राप्त ि कर ले । रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे हेत आिेिि 4. (1) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट द्वारा रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे हेत आिेिि, बोडड के पास अि सूची-I में दिए हुए फॉमड-क में दकया िाएगा, और जिसके साथ अि सूची-II के पैरा-1 में जिधाडररत की गई आिेिि फीस (िो लौटाई िहीं िाएगी) भी अिा की िाएगी । (2) उप-जिजियम (1) में बताई गई दकसी बात के होते हुए भी, इि जिजियमों के लागू होिे से पहले इश्यू के रजिस्ट्रार या िेयर रांसफर एिेंट द्वारा दकए गए दकसी आिेिि (जिसमें लगभग िह समस्ट्त िािकारी िी हुई हो, जिसका जिक्र अि सूची-I में दिए हुएफॉमड-क में दकया गया है) के बारे में यही मािा िाएगा दक िह उप-जिजियम (1) के अि सार ही दकया गया आिेिि है और उस पर कायडिाही भी उसी तरह से ही की िाएगी। अपेिाओं के अि रूप आिेिि 5. जिजियम 4 के उप-जिजियम (2) के प्रािधािों के अि रूप आिेििों पर जिचार करते समय, िो आिेिि हर तरह से पूरा ि हो और िो फॉमड में दिए हुए अि िेिों के अि रूप ि हो, उसे िामंिूर कर दिया िाएगा: 4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] परंत यह दक ऐसे दकसी आिेिि को िामंिूर करिे से पहले, आिेिक को बोडड द्वारा िताई गई आपजियों के अि सार बिलाि आदि करिे का अिसर प्रिाि दकया िाएगा और इस तरह से बिलाि आदि बोडड से ऐसी सूचिा प्राप्त होिे की तारीख से तीस दििों के भीतर करिे होंगे: परंत यह और दक बोडड, पयाडप्त कारण बताए िािे के बाि, इस प्रकार बताई गई आपजियों के अि सार बिलाि आदि करिे के जलए क छ और समय िे सकेगा, जितिा भी इसके जलए आिेिक को बोडड और समय िेिा िीक समझे, ककंत ज्यािा से ज्यािा तीस दििों तक का ही और समय दिया िा सकेगा । क छ और िािकारी प्रस्ट्त त करिा, स्ट्पष्टीकरण िेिा आदि 6. (1) बोडड, रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे हेत दकए गए आिेिि पर जिचार करिे के जलए, आिेिक से यह कह सकेगा दक िह ऐसी क छ और िािकारी प्रस्ट्त त करे या स्ट्पष्टीकरण िे, िो भी इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के तौर पर उसके कायड आदि से ि ड़े मामलों के संबंध में बोडड को िरूरी लगे । (2) यदि बोडड को िरूरी लगे, तो िह आिेिक या उसके दकसी प्राजधकृत प्रजतजिजध को व्यजिगत प्रजतजिजधत्ि हेत बोडड के समि हाजज़र होिे के जलए कह सकेगा । आिेिि पर जिचार 7. आिेिक को रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे के संबंध में जिचार करते समय, बोडड उि सभी बातों पर जिचार करेगा िो उसे इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के कायों आदि के जलहाि से िरूरी लगें और खासकर यह दक क्या- (क) आिेिक एक कंपिी (बॉडी कारपोरेट) है; (ख) आिेिक के पास इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में सही ढंग से कायड आदि करिे के जलए िरूरी ब जियािी स जिधाएँ (इन्रास्ट्रक्चर) हैं, िैसे दक कायाडलय हेत पयाडप्त स्ट्थाि, पयाडप्त उपकरण और पयाडप्त संख्या में कमडचारी आदि; (ग) आिेिक को कायों आदि का पहले कोई अि भि है; (घ) आिेिक िे अि पालि अजधकारी (कंप्लायन्स ऑदफसर) को जिय ि दकया हुआ है; (ङ) आिेिक िे ऑजडट कमेटी (लेखापरीिा सजमजत) या ऐसी ही दकसी सजमजत का गिि दकया हुआ है; (च) आिेिक या आिेिक से प्रत्यि रूप से या अप्रत्यि रूप से ि ड़े दकसी व्यजि को अजधजियम के तहत बोडड द्वारा रजिस्ट्रेिि प्रिाि िहीं दकया गया; (छ) आिेिक जिजियम 9 में दिए हुए िेटिथड रखिे से संबंजधत प्रािधाि को पूरा करता है; (ि) आिेिक या आिेिक से ि ड़े दकसी व्यजि के जखलाफ जसक्यूररटीज़ माकेट (प्रजतभूजत बािार) या दकसी िूसरी जिजियामक (रेग्यूलेटरी) या इन्फोसडमेंट एिेंसी से ि ड़े दकसी मामले में कोई कायडिाजहयाँ चल रही हैं; (झ) आिेिक या उसके दकसी जििेिक, पाटडिर (भागीिार) या म ख्य अजधकारी (प्प्रंजसपल ऑदफसर) को दकसी भी समय दकसी अपराध (जिसमें ऐसा कोई कायड करिा भी िाजमल है िो िैजतक रूप से सही ि हो) अथिा दकसी आर्थडक अपराध का िोषी पाया गया है; और (ञ) आिेिक उपय ि तथा उजचत व्यजि है । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5 उपय ि तथा उजचत व्यजि संबंधी माििंड 8. आिेिक उपय ि तथा उजचत व्यजि है या िहीं, यह तय करिे के उद्देश्य से, बोडड भारतीय प्रजतभूजत और जिजिमय बोडड (मध्यिती) जिजियम, 2008 [सेबी (इंटरमीजडयरीज़) रेग्यूलेिन्स, 2008] की अि सूची-II में जिधाडररत दकए गए माििंडों पर गौर कर सकेगा। िेटिथड रखिे से संबंजधत प्रािधाि 9. िेटिथड रखिे से संबंजधत प्रािधाि [जिसका जिक्र जिजियम 7 के खंड (छ) में दकया गया है] के अि सार कम से कम पचास लाख रुपये की िेटिथड बिाए रखिी होगी । स्ट्पष्टीकरण.— इस जिजियम के प्रयोििाथड, “िेटिथड” का अथड है - जिजियम 4 के उप-जिजियम (1) के तहत आिेिि प्रस्ट्त त करते समय आिेिक के बही-खातों (लेखा-बजहयों) के अि सार पेड-अप कैजपटल (समािि पूँिी), री ररज़िड (ख ली आरजिजतयों) और जसक्यूररटीज़ प्रीजमयम का मूल्य: परंत यह दक जिस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को भारतीय प्रजतभूजत और जिजिमय बोडड (इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट) जिजियम, 2025 के लागू होिे से पहले रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया िा च का हो, उसे इस जिजियम के लागू होिे की तारीख से अिारह महीिों के भीतर अपिी िेटिथड बढ़ाकर कम से कम उतिी करिी होगा, जितिी िेटिथड का जिक्र ऊपर दकया गया है । रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया िािा 10. (1) बोडड िब इस बात से संत ष्ट हो िाएगा दक आिेिक जिजियम 7 के प्रािधािों पर खरा उतरता है, तब िह आिेिक को सूजचत करेगा और अि सूची-II के पैरा (2) में बताई गई रजिस्ट्रीकरण फीस अिा कर दिए िािे के बाि, अि सूची-I के फॉमड-ख के अि सार प्रमाणपत्र प्रिाि करेगा । (2) उप-जिजियम (1) के तहत प्रिाि दकया गया रजिस्ट्रीकरण प्रमाणपत्र तब तक मान्य रहेगा, िब तक दक उसे बोडड द्वारा जिलंजबत या रद्द ि कर दिया िाए । (3) जिस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को भारतीय प्रजतभूजत और जिजिमय बोडड (इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट) जिजियम, 2025 के लागू होिे से पहले ही बोडड द्वारा रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया िा च का हो, उसके बारे में यह समझा िाएगा दक उसे उप-जिजियम (1) के अि सार रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया गया है । (4) जिजियम 14 में जिधाडररत की गई फीस अिा करिे पर ही रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया िाएगा । रजिस्ट्रेिि (रजिस्ट्रीकरण) की ितें 11. (1) जिजियम 10 के तहत प्रिाि दकए गए रजिस्ट्रीकरण प्रमाणपत्र के संबंध में जिम्नजलजखत ितें भी लागू होंगी, अथाडत्:- (क) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अजधजियम तथा इि जिजियमों (रेग्यूलेिन्स) के प्रािधािों का पालि करेगा; (ख) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जियंत्रण में पररितडि होिे के मामले में बोडड से पहले ही मंिूरी उसी तरह प्राप्त करेगा, िैसा बोडड द्वारा बताया िाए; (ग) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिस कंपिी (बॉडी कारपोरेट) अथिा जिस व्यजि या व्यजियों के जिस समूह के जलए या की ओर से इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में कायड कर रहा हो, उसके साथ एक करार (एग्रीमेंट) करेगा, जिससे िे कािूिी तौर पर बंधें और जिसमें यह जिक्र दकया िाएगा दक उसकी 6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] और, यथाजस्ट्थजत, उस कंपिी (बॉडी कारपोरेट) अथिा व्यजि या व्यजियों के समूह के कतडव्य क्या-क्या होंगे और जिम्मेिाररयाँ क्या-क्या होंगी, हालाँदक उस समय लागू दकन्हीं िूसरे कािूिी प्रािधािों के अि सार इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के जलए िो भी करिा िरुरी हो िह तो उसे करिा ही होगा; (घ) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट रजिस्ट्रेिि हेत फीस उसी प्रकार अिा करेगा, िैसा इि जिजियमों में बताया गया है; (ङ) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट की िेटिथड प्रमाणपत्र की मान्यता की अिजध के िौराि हमेिा उतिी रहे, जितिी िेटिथड का जिक्र जिजियम 9 में दकया गया है; (च) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिकायत प्राप्त होिे की तारीख से इक्कीस कलैंडर दििों के भीतर जििेिकों की जिकायतों का जििारण करिे के जलए पयाडप्त किम उिाएगा और बोडड को यह बताता रहेगा दक दकतिी जिकायतें प्राप्त हुईं, दकस तरह की जिकायतें प्राप्त हुईं और उिके िूसरे जििरण भी िेता रहेगा और साथ ही यह भी बताता रहेगा दक उि जिकायतों का जििारण दकस तरह दकया गया; (छ) यदि बोडड के पास पहले प्रस्ट्त त की गई दकसी िािकारी या प्रस्ट्त त दकए गए दकन्हीं जििरणों को दकसी भी मामले जििेष में झूिा या ग मराह करिे िाला पाया िाता है या यदि पहले से प्रस्ट्त त की गई िािकारी में कोई बड़ा बिलाि हो िाता है, तो ऐसे में इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बोडड को त रंत जलजखत रूप में सूजचत करेगा; (ि) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बोडड से मान्यताप्राप्त स्ट्टॉक एक्सचेंि में सूचीबद्ध (जलजस्ट्टड) कंपजियों या सूचीबद्ध (जलस्ट्ट) होिे िाली कंपजियों को सेिाएँ प्रिाि करेगा । (2) उप-जिजियम (1) के खंड (ख) में बताई गई दकसी भी बात से अजधजियम की धारा 12 के तहत दफर से रजिस्ट्रेिि प्राप्त करिे के िाजयत्ि पर कोई असर िहीं पड़ेगा (िहाँ भी ऐसा लागू हो) । असूचीगत (अिजलजस्ट्टड) कंपजियों को सेिाएँ प्रिाि करिा 12. (1) यदि इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिी सेिाएँ असूचीगत (अिजलजस्ट्टड) कंपजियों को प्रिाि कर रहा हो, तो ऐसे में – (क) असूचीगत (अिजलजस्ट्टड) कंपजियों को अलग से सेिाएँ प्रिाि की िाएँगी और उन्हें िूसरी सभी सेिाओं से पूरी तरह से अलग रखा िाएगा, और ये सेिाएँ एक अलग जबििेस यूजिट बिाकर प्रिाि की िाएँगी; (ख) असूचीगत (अिजलजस्ट्टड) कंपजियों को इस प्रकार प्रिाि की िािे िाली सेिाएँ बोडड के जिजियामक (रेग्यूलेटरी) िायरे में िहीं आएँगी; और (ग) प्रत्येक इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को इस संबंध में एक जडस्ट्क्लेमर असूचीगत (अिजलजस्ट्टड) कंपिी को साफ-साफ िेिा होगा । स्ट्पष्टीकरण.— म्यूच अल फंडों, असेट मैिेिमेंट कंपजियों, पोटडफोजलयो प्रबंधि सेिाओं और ऑल्टरिेरटि इन्िेस्ट्टमेंट फंडों (ए.आई.एफ.) को सेिाएँ प्रिाि करिे िाले इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट बोडड के जिजियामक (रेग्यूलेटरी) िायरे में ही रहेंगे । (2) िो इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट, भारतीय प्रजतभूजत और जिजिमय बोडड (इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट) जिजियम, 2025 के लागू होिे से पहले से ही असूचीगत (अिजलजस्ट्टड) कंपजियों को सेिाएँ प्रिाि कर रहा हो, िह ऐसे कायड आदि इि जिजियमों के अजधसूजचत होिे की तारीख से अिारह महीिों की अिजध के भीतर एक अलग जबििेस यूजिट बिाकर करेगा । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 7 रजिस्ट्रेिि प्रिाि करिे से इिकार दकए िािे के संबंध में अपिाई िािे िाली प्रदक्रया 13. (1) जिजियम 4 के तहत दकए गए आिेिि पर जिचार करिे के बाि, यदि बोडड की यह राय हो दक आिेिक को प्रमाणपत्र प्रिाि िहीं दकया िािा चाजहए, तो ऐसे में बोडड आिेिक को स ििाई का उजचत अिसर प्रिाि करिे के बाि आिेिि को िामंिूर कर सकेगा । (2) आिेिि को िामंिूर करिे के बोडड के जिणडय से आिेिक को, ऐसा जिणडय जलए िािे की तारीख से तीस दििों के भीतर, अिगत कराया िाएगा और साथ ही आिेिि को िामंिूर दकए िािे के कारण भी बताए िाएँगे । (3) यदि आिेिक बोडड द्वारा उप-जिजियम (2) के तहत दिए गए जिणडय से असंत ष्ट हो, तो ऐसे में िह इस संबंध में सूचिा प्राप्त होिे की तारीख से तीस दििों के भीतर, जिणडय पर दफर से जिचार करिे के जलए, बोडड के पास आिेिि कर सकेगा । (4) उप-जिजियम (3) के तहत आिेिि प्राप्त होिे के बाि, बोडड अपिे जिणडय पर दफर से जिचार करेगा और इस संबंध में अपिा जिणडय िल्ि से िल्ि आिेिक को जलजखत में सूजचत करेगा । फीस का भ गताि और फीस अिा ि दकए िािे के पररणाम 14. (1) रजिस्ट्रेिि प्रिाि दकए िािे के जलए पात्र प्रत्येक आिेिक, उसी प्रकार से और उतिी अिजध के भीतर फीस अिा करेगा, िैसा अि सूची-II में बताया गया है: परंत यह दक यदि पयाडप्त कारण बताए िाएँ, तो बोडड इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को िह फीस िेय होिे की तारीख से छह महीिे समाप्त होिे से पहले दकसी भी समय अिा करिे की अि मजत िे सकेगा । (2) यदि इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट उप-जिजियम (1) के अि सार फीस अिा ि कर पाए, तो ऐसे में बोडड प्रमाणपत्र को जिलंजबत कर सकेगा, जिसके बाि इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट, इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में अपिा हर कायड करिा बंि कर िेगा । अध्याय – III िाजयत्ि और जिम्मेिाररयाँ आचार संजहता (कोड ऑफ कंडक्ट) 15. प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अि सूची-III में िी हुई आचार संजहता का हमेिा पालि करेगा । इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिे सहयोगी (असोजसएट) के जलए इश्यू के रजिस्ट्रार और िेयर रांसफर के तौर पर कायड िहीं करेगा 16. कोई भी इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट दकसी ऐसी कंपिी (बॉडी कारपोरेट), जिसका िह सहयोगी (असोजसएट) हो, द्वारा लाए िािे िाले िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) के इश्यू के जलए इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के तौर पर कायड िहीं करेगा । स्ट्पष्टीकरण. इस जिजियम के प्रयोििाथड, यथाजस्ट्थजत, दकसी इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट या कंपिी (बॉडी कारपोरेट) को एक-िूसरे का सहयोगी (असोजसएट) तब मािा िाएगा, िब:- (क) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के पास कंपिी में या कंपिी के पास इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट में, प्रत्यि रूप से या अप्रत्यि रूप से, कम से कम 10 प्रजतित मताजधकार हों; या, (ख) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के जििेिक या प्रोमोटर (संप्रितडक) या प्रबंध-मंडल के म ख्य व्यजियों (की मैिेिेररयल पसोिल) का िातेिार कंपिी (बॉडी कारपोरेट) का जििेिक या प्रोमोटर हो अथिा कंपिी 8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (बॉडी कारपोरेट) के जििेिक या प्रोमोटर या प्रबंध-मंडल के म ख्य व्यजियों (की मैिेिेररयल पसोिल) का िातेिार इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का जििेिक या प्रोमोटर हो । स्ट्पष्टीकरण.— िब्ि ‘िातेिार’ का अथड िही है, िो कंपिी अजधजियम, 2013 की धारा 2 की उप-धारा (77) में इसके जलए दिया हुआ है । बही-खाते (लेखा-बजहयाँ), ररकॉडड, आदि सही तरह से रखिा 17. (1) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिम्नजलजखत बही-खाते और िस्ट्तािेि संभालकर रखेगा, अथाडत्:- (क) प्रत्येक लेखा अिजध (अकाउंटटंग पीररयड) के अंत तक की जस्ट्थजत के अि सार त लि-पत्र (बैलेंस िीट) की प्रजत; (ख) प्रत्येक लेखा अिजध (अकाउंटटंग पीररयड) के अंत तक की जस्ट्थजत के अि सार लाभ-हाजि खाते (प्रॉदफट एंड लॉस अकाउंट) की प्रजत; (ग) प्रत्येक लेखा अिजध (अकाउंटटंग पीररयड) के खातों (अकाउं्स) के संबंध में ऑजडटर (लेखापरीिक) की ररपोटड की प्रजत; और (घ) यह ब्यौरा दक प्रत्येक जतमाही में िेटिथड दकतिी रही । (2) इश्यू से संबंजधत कायड करिे िाला प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिम्नजलजखत के ररकॉडड भी संभालकर रखेगा:- (क) दकसी इश्यू के संबंध में जििेिकों से प्राप्त सभी आिेिि; (ख) जििेिकों के िे सभी आिेिि िो िामंिूर दकए गए हों (िामंिूर दकए िािे के कारणों सजहत); (ग) जििेिकों को िेयर आदि (जसक्यूररटीज़ / प्रजतभूजतयाँ) स्ट्टॉक एक्सचेंि के परामिड से दकस आधार पर अलॉट दकए गए; (घ) िेयर आदि (जसक्यूररटीज़ / प्रजतभूजतयाँ) खरीििे से संबंजधत ितें आदि; (ङ) िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) के अलॉटमेंट के ब्यौरे; (च) उि व्यजियों के िामों की सूची, जिन्हें िेयर आदि अलॉट दकए गए और जिन्हें िहीं दकए गए; (छ) दकसी इश्यू के संबंध में जििेिकों से आिेिि के साथ प्राप्त रकम के जसलजसले में भेिे गए ररफंड ऑडडर; (ि) ऐसे िूसरे ररकॉडड, िो बोडड रखिे को कहे । (3) िो भी इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट दकसी कंपिी (बॉडी कारपोरेट) के जलए रांसफर एिेंट के तौर पर कायड करता हो, िह उस कंपिी (बॉडी कारपोरेट) के जिम्नजलजखत ररकॉडड रखेगा, अथाडत्:- (क) ऐसी कंपिी (बॉडी कारपोरेट) के िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) के धारकों (होल्डसड) की सूची; (ख) िेयर आदि (जसक्यूररटीज़ / प्रजतभूजतयाँ) रांसफर करिे िालों के िाम और जिन्हें रांसफर दकए गए उिके िाम, और रांसफर दकि-दकि तारीखों को हुए; (ग) ऐसे िूसरे ररकॉडड, िो बोडड रखिे को कहे । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 9 (4) प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बोडड को यह सूजचत करेगा दक उसके बही-खाते, ररकॉडड और िस्ट्तािेि संभालकर कहाँ रखे गए हैं । (5) प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट, प्रत्येक जििीय िषड के समाप्त होिे के बाि िल्ि से िल्ि ककंत उपरोि अिजध के समाप्त होिे की तारीख से छह महीिों के भीतर, बोडड के पास त लि-पत्र (बैलेंस िीट), लाभ-हाजि खाते (प्रॉदफट एंड लॉस अकाउंट), िेटिथड दकतिी रही उसके जििरण (स्ट्टेटमेंट) [िो भी बोडड बताए] और बोडड द्वारा इस जिजियम के तहत बताए गए िूसरे िस्ट्तािेिों की प्रजतयाँ प्रस्ट्त त करेगा, हालाँदक उप-जिजियम (1) में दिए हुए प्रािधाि का पालि तो करिा ही होगा । ररकॉडड रखिा 18. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बही-खाते और िूसरे ररकॉडड तथा िस्ट्तािेि (जििका जिक्र जिजियम 17 में दकया गया है) कम से कम आि िषों की अिजध तक संभालकर रखेगा, हालाँदक इस संबंध में यदि कोई और कािूिी प्रािधाि हों, तो उिका भी पालि करिा होगा । अि पालि अजधकारी (कंप्लायन्स ऑदफसर) की जिय जि 19. (1) प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट एक अि पालि अजधकारी (कंप्लायन्स ऑदफसर) जिय ि करेगा, िो अजधजियम, जियमों और जिजियमों (रेग्यूलेिन्स), अजधसूचिाओं, दििाजििेिों (गाइडलाइन्स), अि िेिों, आदि (िो भी बोडड या केन्रीय सरकार द्वारा िारी दकए गए हों) के पालि पर िज़र रखिे के जलए और जििेिकों की जिकायतों का जििारण करिे के जलए जिम्मेिार होगा । (2) यदि अि पालि अजधकारी (कंप्लायन्स ऑदफसर) की िज़र में ऐसा कोई मामला आए दक कहीं दकसी प्रािधाि का पालि िहीं हुआ है, तो िह उसकी ररपोटड बोडड को त रंत और स्ट्ितंत्र रूप से िेगा । जििाि स लझािा 20. यदि दकसी इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट द्वारा जसक्यूररटीज़ माकेट (प्रजतभूजत बािार) में दकए िािे िाले कायों आदि की ििह से या उि कायों आदि के जसलजसले में उस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट तथा उसके ग्राहक एिं जििेिक के बीच कोई जििाि या मतभेि हो िाए या दफर उिके द्वारा कोई िािा दकया िाए, तो ऐसे मामले, बोडड द्वारा जिधाडररत की गई प्रदक्रया के अि सार, जििाि स लझािे हेत बिाई गई व्यिस्ट्था (जिसमें स लह करािा और/या मध्यस्ट्थता आदि करिा िाजमल है) के समि रखे िाएँगे । जिकायत जििारण व्यिस्ट्था 21. (1) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जििेिकों की जिकायतों का जििारण िल्ि से िल्ि ककंत जिकायत प्राप्त होिे की तारीख से इक्कीस कलैंडर दििों के भीतर करेगा और उसी प्रकार करेगा िैसा बोडड बताए । (2) बोडड उतिे समय के भीतर और उस तरह से जिकायतों का जििारण स जिजित करिे और जिकायत जििारण की प्रदक्रया पर िज़र रखिे के जलए दकसी कंपिी (बॉडी कारपोरेट) को मान्यता भी प्रिाि कर सकेगा, िैसा बताया िाए । जििेिक चाटडर 22. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बोडड द्वारा समय-समय पर िारी दकए िािे िाले जििेिक चाटडर का पालि स जिजित करेगा । 10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] अध्याय-IV बािार में होिे िाली धोखाधड़ी या बािार के गलत इस्ट्तेमाल का पता लगािे और उसे रोकिे के जलए संस्ट्थागत व्यिस्ट्था िररष्ठ प्रबंध-मंडल द्वारा जिगरािी 23. (1) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के म ख्य कायडकारी अजधकारी (चीफ एजग्ज़क्यूरटि ऑदफसर), प्रबंध जििेिक (मैिेप्िंग डॉयरेक्टर) या ऐसे ही ओहिे िाले दकसी िूसरे व्यजि की यह जिम्मेिारी होगी दक उसके यहाँ आंतररक जियंत्रण की पयाडप्त व्यिस्ट्था हमेिा रहे, तादक इि जिजियमों (रेग्यूलेिन्स) का पालि स जिजित हो सके और धोखाधड़ी पर लगाम भी कसी िा सके । (2) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का जििेिक मंडल या उसका प्रम ख (उिके प्रम ख) यह स जिजित करेगा (करेंगे) दक म ख्य कायडकारी अजधकारी (चीफ एजग्ज़क्यूरटि ऑदफसर), प्रबंध जििेिक (मैिेप्िंग डॉयरेक्टर) या ऐसे ही ओहिे िाला कोई िूसरा व्यजि इि प्रािधािों का पालि करे । (3) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का अि पालि अजधकारी (कंप्लायंस ऑदफसर) आंतररक जियंत्रण की व्यिस्ट्था पर िज़र रखेगा और ऑजडट कमेटी (लेखापरीिा सजमजत) या ऐसी ही दकसी िूसरी बॉडी के समि समय-समय पर ररपोटें प्रस्ट्त त करेगा। (4) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट की ऑजडट कमेटी या ऐसी ही कोई िूसरी बॉडी, प्रत्येक जििीय िषड में कम से कम एक बार, यह समीिा करेगी दक आंतररक जियंत्रण की व्यिस्ट्था पयाडप्त तथा कारगर है या िहीं और इि जिजियमों (रेग्यूलेिन्स) का पालि दकया िा रहा है या िहीं । जिगरािी (सिेलांस) की मिबूत व्यिस्ट्था 24. इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के यहाँ जिगरािी (सिेलांस) की ऐसी मिबूत व्यिस्ट्था भी होगी और आंतररक जियंत्रण की ऐसी प्रदक्रयाएँ होंगी, िो इस जलहाि से पयाडप्त हों दक उसका कारोबार दकस तरह का है और उसके कामकाि का िायरा दकतिा बड़ा है, और साथ ही उिकी मिि से यह भी पता चल पाए दक कहीं उसके प्रोमोटर, उसके कमडचारी (जििमें िररष्ठ प्रबंध-मंडल के व्यजि भी िाजमल हैं), उसके जििेिक या ऐसे ही ओहिे िाले िूसरे व्यजि कोई धोखाधड़ी करिे की कोजिि तो िहीं कर रहे। ररपोटड करिे आदि की व्यिस्ट्थाएँ 25. इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के यहाँ ररपोटड करिे आदि की प्रदक्रया (िो स्ट्पष्ट तौर पर जलजखत रूप में हो) होगी, तादक यह स जिजित दकया िा सके दक यदि कोई धोखाधड़ी हुई हो या होिे की आिंका हो, कोई गलत कायड दकया िा रहा हो, या कोई गजतजिजध संदिग्ध लग रही हो, तो उसकी िािकारी त रंत िररष्ठ प्रबंध-मंडल और जििेिक मंडल को िी िा सके । पिाडफाि दकए िािे संबंधी िीजत (जिसल ब्लोअर पॉजलसी) 26. (1) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट पिाडफाि दकए िािे संबंधी िीजत (जिसल ब्लोअर पॉजलसी) जिधाडररत करेगा (िो स्ट्पष्ट तौर पर जलजखत रूप में हो) और उसे लागू करेगा, तादक यदि उसके कमडचाररयों और अन्य स्ट्टेकहोल्डर को ऐसा लगे दक कहीं कोई धोखाधड़ी हो रही है, कोई गलत तरीका अपिाया िा रहा है, जिजियमों (रेग्यूलेिन्स) या कािूिी प्रािधािों का उल्लंघि दकया िा रहा है या दफर संचालि (गििेंस) की व्यिस्ट्था में कहीं कोई खाजमयाँ हैं, तो ऐसे में िे इस िीजत के प्रािधािों के तहत गोपिीय तरीके से अपिी बात पहुँचा सकें और उन्हें बिला जलए िािे का कोई डर भी ि रहे । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 11 (2) पिाडफाि करिे िाले व्यजियों (जिसल ब्लोअर) को संरिण कैसे जमलेगा और प्राप्त जिकायतों की जिष्पि रूप से तथा समय पर िाँच-पड़ताल कैसे की िाएगी, इसका पूरा जिक्र इस िीजत में होगा । (3) इस जिजियम के तहत जििेिक मंडल के जखलाफ की िािे िाली जिकायतों [जििमें प्रबंध जििेिक (मैिेप्िंग डायरेक्टर), म ख्य कायडपालक अजधकारी (चीफ एजग्ज़क्यूरटि ऑदफसर) या ऐसे ही ओहिे िाले दकसी िूसरे व्यजि, प्रबंध-मंडल के म ख्य व्यजियों (की मैिेिेररयल पसोिल), िाजमत जििेिकों (डेजसग्नेटेड डायरेक्टर) या प्रोमोटर (संप्रितडक) के जखलाफ की िािे िाली जिकायतें भी िाजमल हैं] इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट की ऑजडट कमेटी या उसकी ऐसी ही दकसी िूसरी बॉडी (जिकाय) के पास प्रस्ट्त त की िाएँगी, और िूसरे कमडचाररयों के जखलाफ की िािे िाली जिकायतें अि पालि अजधकारी (कंप्लायन्स ऑदफसर) के पास प्रस्ट्त त की िाएँगी । अध्याय-V जिरीिण और अि िासजिक कायडिाजहयाँ बोडड का जिरीिण करिे का अजधकार 27. (1) बोडड उप-जिजियम (2) में बताए गए दकसी भी उद्देश्य से इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के बही-खातों, उसके ररकॉडड और िस्ट्तािेिों का जिरीिण करिे के जलए एक या एक से ज्यािा व्यजियों को जिरीिण प्राजधकारी के रूप में जिय ि कर सकेगा । (2) जिरीिण जिम्नजलजखत उद्देश्यों [जििकी बात उप-जिजियम (1) में की गई है] से दकए िा सकेंगे:- (क) यह स जिजित करिे के जलए दक बही-खाते, ररकॉडड और िस्ट्तािेि उसी तरह से रखे िा रहे हैं, जिस तरह से रखे िािे िरूरी हों; (ख) यह स जिजित करिे के जलए दक अजधजियम (एक्ट), जियमों, जिजियमों (रेग्यूलेिन्स), प्रजतभूजत संजििा (जिजियमि) अजधजियम, 1956 [जसक्यूररटीज़ कॉण्रैक््स (रेग्यूलेिि) एक्ट, 1956] (1956 का 42) और उसके तहत बिाए गए जियमों के प्रािधािों का पालि दकया िा रहा है; (ग) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के कायों आदि से संबंजधत दकसी भी मामले के संबंध में जििेिकों, िूसरे इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंटों या प्रजतभूजत बािार (जसक्यूररटीज़ माकेट) से ि ड़े दकसी िूसरे व्यजि से प्राप्त जिकायतों की तहकीकात (का अन्िेषण / इन्िेजस्ट्टगेिि) करिे के जलए; (घ) प्रजतभूजत बािार (जसक्यूररटीज़ माकेट) के जहत में या जििेिकों के जहत में िब भी लगे, ख ि से इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के कामकाि की तहकीकात (इन्िेजस्ट्टगेिि) करिे के जलए । जिरीिण की प्रदक्रया 28. (1) जिजियम 27 के तहत जिरीिण करिे से पहले, बोडड ‘इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट’ को यथोजचत सूचिा (िोरटस) िेगा । (2) उप-जिजियम (1) में बताई गई दकसी बात के होते हुए भी, िहाँ बोडड इस बात से संत ष्ट हो िाए दक जििेिकों के जहत में या ििजहत में ऐसी कोई भी सूचिा (िोरटस) िहीं िी िािी चाजहए, िहाँ बोडड जलजखत आिेि िारी करके यह जििेि िे सकेगा दक इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के कामकाि का जिरीिण ऐसी कोई सूचिा (िोरटस) दिए जबिा ही दकया िाए । 12 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (3) जिस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का जिरीिण दकया िा रहा हो, िह जिरीिण के िौराि जिजियम 29 में बताए गए अपिे िाजयत्ि पूरे करिे के जलए बाध्य होगा। बोडड द्वारा दकए िािे िाले जिरीिण के संबंध में इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के िाजयत्ि 29. (1) जिस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का जिरीिण दकया िा रहा हो, उसके प्रत्येक जििेिक (डायरेक्टर), प्रोप्राइटर, पाटडिर (भागीिार), अजधकारी और कमडचारी का यह कतडव्य होगा दक िह जिरीिण प्राजधकारी के समि िे बजहयाँ, िे खाते (अकाउं्स) तथा िे िूसरे िस्ट्तािेि पेि करे िो उसके पास पड़े हों (उसकी कस्ट्टडी में हों) या उसके जियंत्रण में हों, और जसक्यूररटीज़ माकेट (प्रजतभूजत बािार) में दकए गए लेिेिेि (रांिेक्िन्स) से संबंजधत जििरण तथा िािकारी जिरीिण प्राजधकारी के समि उतिे समय के भीतर प्रस्ट्त त करे, जितिे समय के भीतर जिरीिण प्राजधकारी प्रस्ट्त त करिे को कहे । (2) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिरीिण प्राजधकारी को उस पररसर में िािे के जलए हर यथोजचत स जिधा म हैया कराएगा (एक्सेस िेगा), जििका कब्िा उिके पास हो या उिकी ओर से दकसी िूसरे व्यजि के पास हो और इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट या ऐसे दकसी िूसरे व्यजि के पास िो बजहयाँ, ररकॉडड, िस्ट्तािेि तथा कंप्यूटर डाटा हो उिकी िाँच-पड़ताल करिे हेत यथोजचत स जिधा भी प्रिाि करेगा और उि िस्ट्तािेिों की प्रजतयाँ या अन्य सामग्री भी प्रिाि करेगा, िो जिरीिण प्राजधकारी की राय में जिरीिण करिे के जलए िरूरी हों । (3) जिरीिण प्राजधकारी, जिरीिण के िौराि, इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के दकसी सिस्ट्य (मेम्बर), जििेिक (डायरेक्टर), पाटडिर (भागीिार), प्रोप्राइटर और कमडचारी के बयािों की पड़ताल करिे या उिके बयाि ििड करिे का हकिार होगा । (4) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के प्रत्येक जििेिक, प्रोप्राइटर, पाटडिर (भागीिार), अजधकारी और कमडचारी का यह कतडव्य होगा दक िह जिरीिण के संबंध में जिरीिण प्राजधकारी को िह समस्ट्त सहायता प्रिाि करे, िैसा इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट से करिे को कहा िाए । बोडड को ररपोटड प्रस्ट्त त करिा 30. जिरीिण प्राजधकारी, जितिी िल्िी हो सके, बोडड को जिरीिण ररपोटड प्रस्ट्त त करेगा । जिरीिण या तहकीकात (इन्िेजस्ट्टगेिि) संबंधी ररपोटड के आधार पर कारडिाई 31. बोडड या अध्यि, जिरीिण या तहकीकात (इन्िेजस्ट्टगेिि) संबंधी ररपोटड पर जिचार करिे के बाि ऐसी कारडिाई करेगा िो बोडड या अध्यि उपय ि तथा उजचत समझे, जिसमें भारतीय प्रजतभूजत और जिजिमय बोडड (मध्यिती) जिजियम, 2008 [सेबी (इंटरमीजडयरीज़) रेग्यूलेिन्स, 2008] के अध्याय-V के तहत की िा सकिे िाली कारडिाई भी िाजमल है। ऑजडटर (लेखापरीिक) की जिय जि 32. ऊपर बताई गई दकसी बात के होते हुए भी, बोडड इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के बही-खातों या उसके द्वारा दकए िा रहे कायों की तहकीकात करिे के जलए एक योग्यताप्राप्त (क्वाजलफाइड) ऑजडटर को जिय ि कर सकेगा: परंत यह दक इस प्रकार जिय ि दकए िािे िाले ऑजडटर के पास जिरीिण प्राजधकारी की िही िजियाँ होंगी, जििका जिक्र जिजियम 27 में दकया गया है, और जिजियम 29 में इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के जिि िाजयत्िों का जिक्र दकया गया है िे इस जिजियम के तहत की िािे िाली तहकीकात के मामले में भी लागू होंगे। स्ट्पष्टीकरण. – िब्िों "योग्यताप्राप्त ऑजडटर" (अर्हडत लेखापरीिक) का अथड िही है, िो कंपिी अजधजियम, 2013 (2013 का 18) की धारा 141 में इसके जलए दिया हुआ है। [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 13 अध्याय-VI चूक के मामले में कारडिाई के जलए प्रदक्रया 33. चूक (जडफॉल्ट) के मामले में कारडिाई का िाजयत्ि िो इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट - (क) ऐसी दकसी ितड का पालि िहीं करता है, जिसके तहत उसे रजिस्ट्रेिि (रजिस्ट्रीकरण) दिया गया हो; (ख) अजधजियम, जियमों या जिजियमों (रेग्यूलेिन्स) के दकसी भी प्रािधाि का उल्लंघि करता है; (ग) प्रजतभूजत संजििा (जिजियमि) अजधजियम, 1956 [जसक्यूररटीज़ कॉण्रैक््स (रेग्यूलेिि) एक्ट, 1956] (1956 का 42) के प्रािधािों या उसके तहत बिाए गए जियमों के प्रािधािों का उल्लघंि करता है; (घ) जििेपागार अजधजियम, 1996 (जडपॉजज़टरीज़ एक्ट, 1996) या उसके तहत बिाए गए जियमों के प्रािधािों का उल्लघंि करता है; (ङ) स्ट्टॉक एक्सचेंि के जियमों, जिजियमों (रेग्यूलेिन्स) या बाय-लॉज़ (उप-जिजधयों) का उल्लंघि करता है, उस पर कायडिाही उसी तरह की िाएगी, िैसा भारतीय प्रजतभूजत और जिजिमय बोडड (मध्यिती) जिजियम, 2008 [सेबी (इंटरमीजडयरीज़) रेग्यूलेिन्स, 2008] के अध्याय-V में बताया गया है । अध्याय-VII जिजियमों के कड़ाई से लागू होिे के संबंध में छूट प्रिाि करिे की िजि जििेष मामलों में जिजियमों के लागू होिे से छूट 34. (1) बोडड, दकसी व्यजि या दकसी िगड के व्यजियों को, बताई गई अिजध तक (ककंत िो बारह महीिों से अजधक की िहीं होगी) प्रजतभूजत बािारों (जसक्यूररटीज़ माकेट) में रेग्यूलेटरी सैंडबॉक्स के लाइि एििायरमेंट में िए प्रोडेक््स (उत्पािों), िई प्रदक्रयाओं (प्रोसेसेज़), िई सेिाओं (सर्िडसेज़), िए जबििेस मॉडलों, आदि को परखिे (की टेप्स्ट्टंग) के संबंध में इिोिेिि करिे के जलए, इि जिजियमों के सभी प्रािधािों या दकसी प्रािधाि से छूट प्रिाि कर सकेगा । (2) यदि उप-जिजियम (1) के तहत बोडड द्वारा कोई छूट प्रिाि की भी िाती है, तो इसके जलए आिेिक को बोडड द्वारा जिधाडररत की िािे िाली ितें पूरी करिी होंगी, जििमें िे ितें भी िाजमल हैं जििका आगे भी पालि करते रहिा होगा । स्ट्पष्टीकरण.— इि जिजियमों के प्रयोििाथड, "रेग्यूलेटरी सैंडबॉक्स" का अथड है - ऐसा लाइि टेप्स्ट्टंग एििायरमेंट, िहाँ, ऐसी ितों के तहत िो बोडड द्वारा जिधाडररत की िाएँ, जसक्यूररटीज़ माकेट (प्रजतभूजत बािार) में इिोिेिि लािे के जलए, जिधाडररत समयािजध हेत क छ पात्र ग्राहकों के जलए िए प्रोडेक््स (उत्पाि), िई प्रदक्रयाएँ (प्रोसेसेज़), िई सेिाएँ (सर्िडसेज़), िए जबििेस मॉडल, आदि उपलब्ध कराए िा सकेंगे । दकए गए आिेिि के आधार पर जिजियमों के कड़ाई से लागू होिे के संबंध में छूट प्रिाि करिे की िजि 35. (1) बोडड या तो स्ट्ियं या इस संबंध में आिेिि प्राप्त होिे पर, जििेिकों तथा जसक्यूररटीज़ माकेट (प्रजतभूजत बािार) के जहत में और साथ ही जसक्यूररटीज़ माकेट के जिकास के जलए तथा उसे जिजियजमत (रेग्यूलेट) करिे के जलए, इि जिजियमों (रेग्यूलेिन्स) के दकन्हीं प्रािधािों के कड़ाई से लागू होिे के संबंध में छूट प्रिाि कर सकेगा, यदि बोडड इस बात से संत ष्ट हो िाए दक: 14 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (क) संबजधत प्रािधाि का पालि करिे की ििह से जििेिकों को बेििह परेिािी हो सकती है; या (ख) ऐसा करिा प्रदक्रया के जलहाि से या तकिीकी कारणों से िरूरी है; या (ग) प्रािधािों का पालि उि कारणों से िहीं हो पाया, िो व्यजि के जियंत्रण से परे थे । (2) उप-जिजियम (1) के तहत छूट प्राप्त करिे के जलए, बोडड के पास एक आिेिि िाजखल दकया िाएगा, जिसमें उि कारणों का जिक्र दकया िाएगा दक छूट दकस आधार पर माँगी गई है, और आिेिि करते समय फीस (जितिी समय- समय पर जिधाडररत की िाए) भी िमा करिी होगी (िो लौटाई िहीं िाएगी) । (3) बोडड ऐसे आिेिि पर कायडिाही करेगा, और दफर भले ही बोडड आिेिक को छूट प्रिाि करे या ि करे, लेदकि इसके कारण ििड करेगा । (4) बोडड यदि िीक समझे, तो आिेिि पर कायडिाही करिे के संबंध में स्ट्टॉक एक्सचेंि या क्लीयटरंग कारपोरेिि (समािोधि जिगम) को सलाह आदि िेिे के जलए कह सकेगा। अध्याय-VIII जिजिध करििाइयों को िूर करिे की िजि 36. इि जिजियमों के प्रािधािों के आिय को लेकर या उिके लागू होिे को लेकर यदि दकसी तरह की कोई करििाई आए, तो उसे िूर करिे के जलए बोडड के पास गाइडेंस िोट या पररपत्र (सक डलर) के िररए जििेि िेिे की िजि होगी । प्रदक्रयाएँ आदि जिधाडररत करिे और स्ट्पष्टीकरण िारी करिे की िजि 37. इि जिजियमों (रेग्यूलेिन्स) के स चारू रूप से लागू होिे और इिसे ि ड़े मामलों के संबंध में, बोडड मान्यताप्राप्त स्ट्टॉक एक्सचेंिों और सूचीबद्ध (जलजस्ट्टड) कंपजियों के जलए पररपत्र (सक डलर) िारी करके उन्हें इि जिजियमों में दिए हुए माििंडों, िी हुई प्रदक्रयाओं आदि या दिए हुए दििाजििेिों का पालि करिे के जलए कह सकेगा । पहले के प्रािधािों को जिरस्ट्त करिा और उिके तहत की गई कारडिाई पर असर ि पड़िा 38. (1) इि जिजियमों के लागू होिे की तारीख से ही, भारतीय प्रजतभूजत और जिजिमय बोडड (जिगडम रजिस्ट्रार और िेयर अंतरण अजभकताड) जिजियम, 1993 [सेबी (रजिस्ट्रासड टू एि इश्यू एंड िेयर रांसफर एिेंट) रेग्यूलेिन्स, 1993] जिरस्ट्त हो िाएँगे । (2) उपरोि जिजियमों (रेग्यूलेिन्स) के इस प्रकार जिरस्ट्त हो िािे पर भी, उपरोि जिजियमों (रेग्यूलेिन्स) के जसलजसले में की गई दकसी बात या की गई दकसी कारडिाई अथिा की िा सकिे िाली दकसी बात या दकसी कारडिाई [जिसमें िाजमल है – ि रू दकए गए दकसी जिरीिण, ि रू की गई दकसी िाँच या ि रू की गई दकसी तहकीकात (इन्िेस्ट्टीगेिि) के संबंध में िी गई कोई रटप्पणी आदि (दिया गया कोई ऑब्ििेिि) या िारी की गई कारण बताओ सूचिा (िो काज़ िोरटस)] के बारे में यह समझा िाएगा दक िह इि जिजियमों के िैसे ही प्रािधािों के तहत की गई है । (3) भारतीय प्रजतभूजत और जिजिमय बोडड (जिगडम रजिस्ट्रार और िेयर अंतरण अजभकताड) जिजियम, 1993 के जिरस्ट्त हो िािे के बाि, बोडड द्वारा बिाए गए दकन्हीं िूसरे जिजियमों, उिके तहत िारी दकए गए दकन्हीं दििाजििेिों (गाइडलाइन्स) या दकन्हीं पररपत्रों (सक डलसड) में िहाँ कहीं भी उिके बोडड, भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम, 1992 (सेबी एक्ट, 1992) के तहत बिाए गए जियमों और जिजियमों (रेग्यूलेिन्स) के साथ परित, सेबी अजधजियम की धारा 12 की उप-धारा (1) द्वारा प्रिाि की गई िजियों का प्रयोग करते हुए एतद्दिारा, जियमों में िी हुई ितों के तहत और इि जिजियमों के अि सार, उिके अंतगडत बताए गए कायड आदि करिे के जलए, _______________________ को इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में, रजिस्ट्रीकरण प्रमाणपत्र प्रिाि करता है । II. इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का रजिस्ट्रेिि कोड है : ________________ III. यह रजिस्ट्रीकरण प्रमाणपत्र तब तक मान्य रहेगा, िब तक दक इसे बोडड द्वारा जिलंजबत या रद्द ि कर दिया िाए । तारीख: आिेि द्वारा भारतीय प्रजतभूजत और जिजिमय बोडड (सेबी) के जलए और की ओर से अि सूची-II [जिजियम-14] फीस 1. प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिजियम 4 के उप-जिजियम (1) के तहत रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे हेत दकए िािे िाले आिेिि के साथ बीस हिार रुपये की फीस (िो लौटाई िहीं िाएगी) अिा करेगा । 2. प्रत्येक इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे के समय, बोडड से सूचिा प्राप्त होिे की तारीख से पंरह दििों के भीतर, रजिस्ट्रीकरण फीस के रूप में छह लाख रुपये की रकम अिा करेगा । 3. जिस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकया गया हो, िह, अपिा रजिस्ट्रेिि िारी रखिे के जलए, रजिस्ट्रीकरण प्रमाणपत्र प्रिाि दकए िािे की तारीख से छिे िषड से, प्रत्येक तीि िषों हेत , िो लाख सिर हिार रुपये की फीस अिा करेगा । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 21 4. (क) पैरा (3) में जितिी फीस का जिक्र दकया गया है, उतिी फीस इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट उस ब्लॉक के समाप्त होिे की तारीख से एक महीिे पहले ही अिा करेगा, जिस ब्लॉक के जलए फीस अिा की िा च की हो । (ख) इि जिजियमों (रेग्यूलेिन्स) के लागू होिे से पहले, जिि इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट को भारतीय प्रजतभूजत और जिजियम बोडड (जिगडम रजिस्ट्रार और िेयर अंतरण अजभकताड) जिजियम 1993 के तहत रजिस्ट्रेिि प्रिाि दकया िा च का हो, और िो इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का कायड आदि कर रहे हों, िे या तो: (i) जिस ब्लॉक के जलए फीस अिा की िा च की है, उस ब्लॉक के समाप्त होिे तक इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में िे कायड आदि कर सकेंगे, जिन्हें करिे की अि मजत भारतीय प्रजतभूजत और जिजियम बोडड (जिगडम रजिस्ट्रार और िेयर अंतरण अजभकताड) जिजियम 1993 के तहत िी गई हो; या (ii) इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में िे कायड आदि कर सकेंगे जििका जिक्र इि जिजियमों के जिजियम 2(1)(ट) में दकया गया है, जिसके जलए उन्हें उसी जहसाब से फीस की जितिी और रकम बिती होगी उतिी और रकम अिा करिी होगी, और साथ ही उन्हें इि जिजियमों के तहत दिए हुए िूसरे सभी िरूरी प्रािधािों और िी हुई िूसरी सभी िरूरी ितों का पालि करिा होगा । 5. पैरा 1, 2 और 3 में जितिी फीस का जिक्र दकया गया है, उतिी फीस इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट द्वारा ऑिलाइि ही सेबी के पेमेंट गेटिे के िररए बैंक खाते में सीधे िमा करके अिा की िाएगी । अि सूची-III [जिजियम 15] आचार संजहता (कोड ऑफ कंडक्ट) 1. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिा समस्ट्त कारोबार पूरी ईमाििारी से करेगा । 2. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट तत्परता से, िैजतकता से और पेिेिर ढंग से अपिे िाजयत्िों का जििडहि करेगा । 3. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट, हमेिा पूरी एहजतयात ि सािधािी बरतेगा और अपेिाि सार अपिे स्ट्तर पर ही सही ढंग से जिणडय लेगा । 4. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) को डीमैट रूप िेिे से पहले पूरी सािधािी बरतेगा (ड्यू जडजलिेंस करेगा), जिसके जलए िह यह प जष्ट करेगा दक जिि िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) को डीमैट रूप दिया िािा हो, उन्हें स्ट्टॉक एक्सचेंि (एक्सचेंिों) द्वारा सूचीबद्ध (जलस्ट्ट) करिाए िािे की अि मजत िे िी गई है । 5. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट हमेिा यह स जिजित करिे की कोजिि करेगा दक – (क) जििेिकों द्वारा पूछे गए सिालों आदि का सही-सही उिर दिया िाए; (ख) जििेिकों की जिकायतों का जबिा दकसी िेरी के जििारण दकया िाए; 22 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (ग) डीमैट / रीमैट करिािे हेत प्राप्त जििेििों के अि सार की गई कायडिाही की प जष्ट और कंपिी द्वारा घोजषत फायिे (कारपोरेट बेिीदफ्स) उतिे समय की भीतर बाँटे िाएँगे और िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) का अलॉटमेंट उतिे समय की भीतर दकया िाएगा, जितिा समय इस संबंध में दकए गए दकन्हीं कािूिी प्रािधािों के तहत जिधाडररत दकया गया हो । 6. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करिे के पूरे-पूरे प्रयास करेगा दक दकसी भी तरह की कोई गलत तस्ट्िीर ि पेि की िाए और यह दक जििेिकों को िी िािे िाली िािकारी उन्हें ग मराह करिे िाली ि हो । 7. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट डीमैट / रीमैट करिािे हेत प्राप्त जििेििों को बेत के कारणों से िामंिूर िहीं करेगा । ऐसे जििेिि तभी िामंिूर दकए िा सकेंगे िब उन्हें िामंिूर करिे के पीछे सही और िोस कारण हों, और जिसके जलए िरूरी िस्ट्तािेि भी उपलब्ध हों । 8. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह प्रयास करेगा दक जहतों के टकराि की जस्ट्थजत पैिा ि हो और अपिे जहत से ि ड़े मामलों की पूरी-पूरी िािकारी िेगा । 9. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट कामकाि के िौराि हो सकिे िाले जहतों के टकराि की जस्ट्थजत से जिपटिे के जलए व्यिस्ट्था जिधाडररत करेगा, या िहाँ जहतों के टकराि की कोई जस्ट्थजत पैिा हो गई हो िहाँ उससे इस तरह से जिपटेगा दक दकसी को कोई ि कसाि ि उिािा पड़े । 10. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट ग्राहकों को इस बात की पूरी िािकारी िेगा दक कतडव्यों और जहतों के टकराि की ऐसी जस्ट्थजत कहाँ-कहाँ पैिा हो सकती है, िब िह अपिी सेिाएं स्ट्ितंत्र रूप से और जिष्पि होकर तथा जबिा दकसी बाहरी िबाि के िहीं िे सकेगा । 11. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट ऐसी दकसी अि जचत प्रजतस्ट्पधाड में िरीक िहीं होगा, जिससे िूसरे इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट या जििेिकों के जहतों को ि कसाि हो सकता हो या दफर कोई कायड अपिे हाथ में लेते समय या कोई कायड करते समय िह ऐसा क छ भी िहीं करेगा िो ऐसे िूसरे रजिस्ट्रार के जहतों के जिरुद्ध हो । 12. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट ग्राहकों की िरूरतों को ध्याि में रखते हुए सबसे बेहतरीि सलाह िेिे का प्रयास करेगा । 13. इस प्रकार िािकारी िेिे के संबंध में इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिे ग्राहकों से ि ड़ी कोई गोपिीय िािकारी िूसरे ग्राहकों, प्रेस या दकसी िूसरे व्यजि को िहीं िेगा िो उसे पता चली हो, ककंत यदि ग्राहक द्वारा मंिूरी आदि िी गई हो या यदि उस समय लागू दकसी कािूिी प्रािधाि के तहत इस प्रकार िािकारी िी िािी िरूरी हो, तो ऐसा दकया िा सकता है । 14. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिे ग्राहकों के बीच दकसी भी तरह का भेिभाि िहीं करेगा, हालाँदक िहाँ िैजतकता के आधार पर और पैसे के लेििेि के आधार पर ऐसा करिा िरूरी हो िहाँ ऐसा दकया िा सकेगा । 15. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक यदि रजिस्ट्रेिि की मौिूिा जस्ट्थजत में ऐसा कोई बिलाि हो िाए / यदि बोडड द्वारा ऐसी कोई िंडात्मक कारडिाई की िाए या दफर जििीय जस्ट्थजत में ऐसा कोई बड़ा बिलाि हो िाए जिससे ग्राहकों / जििेिकों के जहतों पर प्रजतकूल असर पड़ सकिे की संभाििा हो तो उसकी िािकारी ग्राहकों को त रंत िे िी िाए । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 23 16. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपेिाि सार ज्ञाि और योग्यता का स्ट्तर बिाए रखेगा तथा अजधजियम, जियमों, जिजियमों (रेग्यूलेिन्स), पररपत्रों (सक डलर) के प्रािधािों का और बोडड द्वारा िारी दकए गए जििेिों का पालि करेगा । 17. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट बोडड को आिश्यकताि सार सहयोग िेगा । 18. बोडड या दकन्हीं एिेंजसयों (जििके यहाँ इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट रजिस्ट्टर हो) द्वारा िब कभी भी बजहयाँ, िस्ट्तािेि, पत्र आदि और कागज़ात या उिका कोई जहस्ट्सा िेिे के जलए कहा िाए, तब इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट ि तो उिके ऐसे जििेि को िज़रअंिाज़ करेगा और ि ही माँगे गए िस्ट्तािेि आदि प्रस्ट्त त करिे में असफल होगा और ि ही ऐसे िस्ट्तािेि आदि प्रस्ट्त त करिे से इिकार करेगा । 19. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक दकसी कािूिी प्रािधाि, जियमों, जिजियमों (रेग्यूलेिन्स) का और बोडड या दकसी िूसरी रेग्यूलेटरी बॉडी (जिजियामक जिकाय) आदि के जििेिों का कोई बड़ा उल्लंघि करिे या उिका पालि ि करिे की ििह से यदि इश्यू के रजिस्ट्रार और िेयर रांसफर के जखलाफ कोई कारडिाई या कािूिी कायडिाही आदि ि रू की िाती है, तो इश्यू का रजिस्ट्रार और िेयर रांसफर उसकी सूचिा बोडड को त रंत िेगा । 20. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करिे के जलए हर िरूरी किम उिाएगा दक डाटा और ररकॉडड रखिे में कोई खलल ि पड़े और यह भी दक डाटा या ररकॉडड खो ि िाएँ या िष्ट ि हो िाएँ । इसके अलािा, िह यह भी स जिजित करेगा दक िो भी डाटा और ररकॉडड इलेक्रॉजिक रूप में हो, उसका बैक-अप हमेिा उसके पास उपलब्ध रहे । 21. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह प्रयास करेगा दक उसके जखलाफ या उसके द्वारा दकए गए कायों आदि के संबंध में प्राप्त जिकायतों का जििारण उसके द्वारा यथासंभि िल्ि से िल्ि दकया िाए । 22. (क) इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट या उसका कोई भी कमडचारी दकसी िेयर आदि (जसक्यूररटी / प्रजतभूजत) के बारे में आम ििता के जलए उपलब्ध मीजडया (दफर चाहे िह ररयल टाइम िाला हो या ि हो) में, सीधे- सीधे या दकसी और के िररए से, कोई जििेि सलाह तब तक िहीं िेगा, िब तक ऐसी सलाह िेते समय उस िेयर आदि में उसके द्वारा ली गई लांग पोिीिि या िॉटड पोिीिि की िािकारी ि िे िी िाए (उसे जडस्ट्क्लोज़ ि कर दिया िाए) । (ख) यदि इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट का कोई कमडचारी ऐसी कोई सलाह िे रहा हो, तो रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक िह यह ख लासा भी कर िे दक उसका ख ि का, उसके पररिार के आजित सिस्ट्यों का और िहाँ िह कायडरत हो उसका दकतिा जहत ि ड़ा हुआ है [याजि दक ऐसी सलाह िेते समय उस िेयर आदि में उन्होंिे दकतिी लांग पोिीिि या िॉटड पोिीिि ले रखी है] । 23. इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के पास िो भी ररकॉडड / डाटा और संबंजधत िस्ट्तािेि हों (िो भी इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट की हैजसयत से उसके पास हों), िे समस्ट्त ररकॉडड / डाटा आदि िह संबंजधत ग्राहकों को, उि ग्राहकों के साथ दकए गए एग्रीमेंट के समाप्त होिे की तारीख से एक महीिे के भीतर या इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में उसे प्रिाि दकए गए रजिस्ट्रीकरण प्रमाणपत्र की अिजध समाप्त होिे / को रद्द दकए िािे की तारीख से एक महीिे के भीतर (िो भी पहले हो), सौंप िेगा । 24 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 24. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट क छ सेिाएँ दिए िािे के संबंध में अपिी योग्यता या अपिी िमता के बारे में अथिा िूसरे ग्राहकों को िी गई सेिाओं से ि ड़ी अपिी उपलजब्धयों के बारे में, ग्राहकों को, ि तो मौजखक रूप से और ि ही जलजखत में, बढ़ाचढ़ाकर बताएगा । 25. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक उसके यहाँ आंतररक स्ट्तर पर जियंत्रण की पयाडप्त व्यिस्ट्थाएँ हों और साथ ही आर्थडक रूप से या अपिा कामकाि करिे के संबंध में िह इतिा सिम हो दक िह चोरी, धोखाधड़ी, बेईमािी और गैर जिम्मेिारािा रिैये की ििह से हो सकिे िाले ि कसाि की भरपाई कर सके । 26. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट अपिे अि पालि अजधकारी (कंप्लायन्स ऑदफसर) को पयाडप्त स्ट्ितंत्रता और िजियाँ प्रिाि करेगा, तादक िह अपिा कतडव्य कारगर ढंग से जिभा सके । 27. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक उसके यहाँ आंतररक कामकाि हेत आंतररक स्ट्तर पर आचार संजहता (कोड ऑफ कंडक्ट) जिधाडररत की िाए और साथ ही यह भी जिधाडररत दकया िाए दक उसके कमडचाररयों और अजधकाररयों को इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के तौर पर और इंडस्ट्री से ि ड़े होिे के िाते अपिे कामकाि में व्यिहार कैसा रखिा चाजहए । इस आचार संजहता के तहत यह भी जिधाडररत दकया िा सकेगा दक एक पेिेिर होिे के िाते िे अपिे कतडव्यों के प्रजत पूरी तरह से ईमाििार रहेंगे, पूरी गोपिीयता एिं जिष्पिता बरतेंगे, और साथ ही साथ िे इस बात का भी ध्याि रखेंगे दक जहतों के टकराि (जहत-जिरोध) की कोई जस्ट्थजत पैिा ि हो, और इसके अलािा उिके पास िो-िो िेयर हों और िहाँ-िहाँ जहस्ट्सेिारी हो उिकी िािकारी भी िेते रहेंगे, आदि । 28. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक कंपिी के स्ट्तर पर अच्छी िीजतयाँ बिाई िाएँ तथा कंपिी संचालि की अच्छी व्यिस्ट्था हो । 29. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट यह स जिजित करेगा दक उसिे जिस भी व्यजि को कामकाि करिे के जलए जिय ि दकया हो, िह उजचत तथा उपय ि व्यजि हो, और साथ ही इस प्रकार जिय ि दकए गए व्यजि के पास कायड करिे के जलए पयाडप्त योग्यताएँ भी हों (जििमें पेिेिर के तौर पर प्रजिजित होिे तथा पेिेिर व्यजि के रूप में कायड करिे का अि भि होिा भी िाजमल है) । 30. इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के कमडचाररयों और एिेंटों िे कारोबार के संचालि के संबंध में िो क छ भी दकया हो या दफर यदि उिके द्वारा क छ करिा रह गया हो, उसके जलए इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट जिम्मेिार होगा । , 31. इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट, िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) में दकए िािे िाले दकसी लेििेि (डीप्लंग) के संबंध में, दकसी भी प्रकार से – (क) ि तो बिािटी सौिेबािी करेगा और ि ही उसमें िरीक होगा; (ख) ि तो भाि (कीमतों) में दकसी भी तरह से हेराफेरी करेगा और ि ही उसमें िरीक होगा; [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 25 (ग) ि तो दकसी स्ट्टॉक एक्सचेंि में सूचीबद्ध (जलस्ट्ट) हो च के या सूचीबद्ध होिे िाले िेयरों आदि (जसक्यूररटीज़ / प्रजतभूजतयों) से संबंजधत कोई यू.पी.एस.आई. No. SEBI/LAD-NRO/GN/2025/288.—In exercise of the powers conferred by sub-section (1) of section 30 read with sub-section (2) of Section 11 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Securities and Exchange Board of India hereby makes the following regulations, namely, – CHAPTER I PRELIMINARY Short title and commencement. 1. (1) These regulations may be called the Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 2025. (2) They shall come into force on the date of their publication in the Official Gazette. Definitions. 2. (1) In these regulations, unless the context otherwise requires, the terms defined herein shall bear the meaning assigned to them below and their cognate expressions and variations shall be construed accordingly,- (a) “Act” means the Securities and Exchange Board of India Act, 1992 (15 of 1992); (b) "activity" means activities which a registrar to an issue and share transfer agent may carry under clause (k) of sub-regulation (1) of regulation 2; (c) “Board” means the Board as defined in clause (a) of sub-section (1) of section 2 of the Act; 26 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (d) “body corporate” means a body corporate as defined in sub-section (11) of Section 2 of the Companies Act, 2013 (18 of 2013); (e) “certificate” means a certificate of registration granted by the Board under these regulations; (f) “Change in control” in case of a body corporate – (A) if its shares are listed on any recognised stock exchange, shall be construed with reference to the definition of control in terms of regulations framed under clause (h) of sub-section (2) of section 11 of the Act; (B) if its shares are not listed on any recognised stock exchange, shall be construed with reference to the definition of control as provided in sub-section (27) of Section 2 of the Companies Act, 2013 (18 of 2013); (g) "form" means a form specified in Schedule I; (h) "inspecting authority" means one or more persons appointed by the Board to exercise powers conferred under Chapter V; (i) “issue” shall have the meaning assigned to it under the Securities and Exchange Board of India (Merchant Bankers) Regulations, 1992; (j) "principal officer" means– (i) in relation to a body corporate, partner or manager or director; or (ii) any person connected with the management or administration of the body corporate upon whom the board of the body corporate has served a notice of its intention of treating him as the principal officer thereof; (k) “registrar to an issue and share transfer agent” means a body corporate or a division or unit of such body corporate, appointed to carry out the following activities- (i) for acting as an intermediary in connection with initial public offers, follow-on public offers, open offers, buy backs of securities, delisting offers, takeovers and such other issue or corporate action related activity as may be specified by the Board or stock exchanges or depositories; (ii) for maintaining the records of holders of securities issued by such body corporate and to deal with all matters connected with transactions in such securities; (l) “stock exchange” means a stock exchange which is for the time being recognised by the Central Government or by the Board under section 4 of the Securities Contracts (Regulation) Act, 1956 (42 of 1956). (2) Words and expressions used and not defined in these regulations but defined in the Act, the Companies Act, 2013, the Securities Contracts (Regulation) Act, 1956, the Depositories Act, 1996 or any rules or regulations made thereunder shall have the same meanings respectively assigned to them in those Acts, rules or regulations made thereunder or any statutory modification or re-enactment thereto, as the case may be. [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 27 CHAPTER II REGISTRATION OF REGISTRAR TO AN ISSUE AND SHARE TRANSFER AGENT Registration as Registrar to an Issue and Share Transfer Agent. 3. No person shall act as a Registrar to an Issue and Share Transfer Agent unless it has obtained a certificate of registration from the Board under these regulations. Application for grant of certificate of registration. 4. (1) An application by a Registrar to an Issue and Share Transfer Agent for grant of a certificate of registration shall be made to the Board in Form A of Schedule I and shall be accompanied by a non- refundable application fee, as specified in Para 1 of Schedule II. (2) Notwithstanding anything contained in sub-regulation (1), any application made by a registrar to an issue or a share transfer agent prior to coming into force of these regulations containing such particulars as near thereto as mentioned in Form A of Schedule I shall be treated as an application made in pursuance of sub-regulation (1) and dealt with accordingly. Application to conform to the requirements. 5. Subject to the provisions of sub-regulation (2) of regulation 4, any application, which is not complete in all respects and does not conform to the instructions specified in the form, shall be rejected: Provided that, before rejecting any such application, the applicant shall be given an opportunity to remove, within thirty days of the date of receipt of the relevant communication from the Board, such objections as may be indicated by the Board: Provided further that, the Board may, on sufficient reason being shown, extend the time for removal of objections by such further time, not exceeding thirty days, as the Board may consider fit to enable the applicant to remove such objections. To furnish further information, clarification etc. 6. (1) The Board may require the applicant to furnish such further information or clarifications regarding matters relevant to its activity as registrar to an issue and share transfer agent to consider the application for grant of a certificate of registration. (3) The applicant or its authorised representative shall, if so required by the Board, appear before the Board for personal representation. Consideration of application. 7. For considering the grant of certificate of registration to the applicant, the Board shall take into account all matters which it deems are relevant to the activities relating to registrar to an issue and share transfer agent and in particular the following, namely, whether- (a) the applicant is a body corporate; (b) the applicant has the necessary infrastructure like adequate office space, equipment and man- power to effectively discharge the activities of a registrar to an issue and share transfer agent; (c) the applicant has any past experience in the activities; (d) the applicant has appointed a compliance officer; (e) the applicant has constituted an audit committee or equivalent; 28 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (f) the applicant or any person directly or indirectly connected with the applicant has not been granted registration by the Board under the Act; (g) the applicant fulfils the net worth requirement specified in regulation 9; (h) the applicant or any person connected to the applicant is involved in any proceedings connected with the securities markets or any other regulatory or enforcement agency; (i) the applicant or any of its director, partner or principal officer is or has at any time been convicted for any offence involving moral turpitude or has been found guilty of any economic offence; and (j) the applicant is a fit and proper person. Criteria for fit and proper person. 8. For the purposes of determining whether an applicant is a fit and proper person the Board may take into account the criteria specified in Schedule II of the Securities and Exchange Board of India (Intermediaries) Regulations, 2008. Net worth Requirement. 9. The net worth requirement referred to in clause (g) of regulation 7 shall not be less than fifty lakh rupees. Explanation.— For the purpose of this regulation, “net worth” means the value of the paid up capital, the free reserves and the securities premium as disclosed in the books of accounts of the applicant at the time of making the application under sub-regulation (1) of regulation 4: Provided that a registrar to an issue and share transfer agent, who was granted a certificate of registration prior to the commencement of Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 2025, shall raise its net worth to the said minimum within a period of eighteen months from such commencement. Grant of certificate of registration. 10. (1) The Board, on being satisfied that the applicant fulfils the requirements specified in regulation 7, shall send an intimation to the applicant and on receipt of the payment of registration fees as specified in paragraph (2) of Schedule II, grant a certificate in Form B of Schedule I. (2) The certificate of registration granted under sub-regulation (1) shall be valid unless it is suspended or cancelled by the Board. (3) The registrar to an issue or share transfer agent who has already been granted certificate of registration by the Board, prior to the commencement of the Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 2025 shall be deemed to have been granted a certificate of registration, in terms of sub-regulation (1). (5) The grant of certificate of registration shall be subject to payment of fee specified in regulation 14. Conditions of registration. 11. (1) The certificate of registration granted under regulation 10 shall, inter alia, be subject to the following conditions, namely:- (a) the registrar to an issue and share transfer agent shall abide by the provisions of the Act and these regulations; [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 29 (b) the registrar to an issue and share transfer agent shall obtain prior approval of the Board in case of change in control in such manner as may be specified by the Board; (c) without prejudice to its obligations under any other law for the time being in force, the registrar to an issue and share transfer agent shall enter into a legally binding agreement with the body corporate or the person or group of persons for or on whose behalf it is acting as a registrar to an issue and share transfer agent stating therein the allocation of duties and responsibilities between itself and such body corporate or person or group of persons, as the case may be; (d) the registrar to an issue and share transfer agent shall pay the fees for registration, in the manner provided in these regulations; (e) the registrar to an issue and share transfer agent shall maintain net worth requirements specified in regulation 9 at all times during the period of validity of the certificate; (f) the registrar to an issue and share transfer agent shall take adequate steps for redressal of grievances of the investors within twenty-one calendar days of the date of the receipt of the complaint and keep the Board informed about the number, nature and other particulars of the complaints received and the manner in which such complaints have been redressed; (g) the registrar to an issue and share transfer agent shall immediately intimate the Board in writing, if any information or particulars previously submitted to the Board are found to be false or misleading in any material particular or if there is any material change in the information already submitted; (h) the registrar to an issue and share transfer agent shall provide services to listed or proposed to be listed companies on a stock exchange recognised by the Board. (2) Nothing contained in clause (b) of sub-regulation (1) shall affect the obligation to obtain a fresh registration under section 12 of the Act in cases where it is applicable. Providing services to unlisted companies 12. (1) Where a registrar to an issue and share transfer agent is providing its services to unlisted companies, then, — (a) the services provided to unlisted companies shall be separate and segregated from all other services, through a separate business unit; (b) such services provided to unlisted companies shall not come under regulatory jurisdiction of the Board; and (c) every registrar to an issue and share transfer agent shall make an appropriate disclaimer to that extent to the unlisted company. Explanation.— The registrars to an issue and share transfer agents serving mutual funds, asset management companies, portfolio management services and alternative investment funds shall remain under the regulatory purview of the Board. (2) A registrar to an issue and share transfer agent offering services to unlisted companies prior to the commencement of the Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 2025 shall segregate such activities into a separate business unit within a period of eighteen months from the date of notification of these regulations. Procedure where registration is not granted. 13. (1) After considering an application made under regulation 4, if the Board is of the opinion that a certificate should not be granted to the applicant, it may reject the application after giving the applicant a reasonable opportunity of being heard. (2) The decision of the Board to reject the application shall be communicated to the applicant within thirty days of such decision, stating therein the grounds on which the application has been rejected. 30 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (3) The applicant may, being aggrieved by the decision of the Board under sub regulation (2) apply within a period of thirty days from the date of receipt of such intimation, to the Board for reconsideration of its decision. (4) On receipt of the application made under sub-regulation (3), the Board shall reconsider its decision and communicate its findings thereon as soon as possible in writing to the applicant. Payment of fees and the consequences of failure to pay fees. 14. (1) Every applicant eligible for grant of registration, shall pay the fees in such manner and within the period specified in Schedule II: Provided that the Board may on sufficient cause being shown permit the registrar to an issue and share transfer agent to pay such fees at any time before the expiry of six months from the date on which such fees becomes due. (2) Where a registrar to an issue and share transfer agent fails to pay the fees as provided in sub- regulation (1), the Board may suspend the certificate, whereupon the registrar to an issue and share transfer agent shall cease to carry on any of his activity as a registrar to an issue and share transfer agent. CHAPTER III GENERAL OBLIGATIONS AND RESPONSIBILITIES Code of Conduct. 15. Every registrar to an issue and share transfer agent shall at all times abide by the Code of Conduct as specified in Schedule III. Registrar to an issue and share transfer agent not to act as such for an associate. 16. No registrar to an issue and share transfer agent shall act as such for any issue of securities by a body corporate of which it is an associate. Explanation.─ For the purpose of this regulation, a registrar to an issue and share transfer agent or the body corporate as the case may be shall be deemed to be an associate of the other where:- (a) it controls directly or indirectly not less than 10 percent of the voting rights of the body corporate or of the registrar to an issue and share transfer agent, as the case may be; or, (b) relative of its director or promoter or key managerial personnel is a director or promoter of the body corporate or of the registrar to an issue and share transfer agent, as the case may be. Explanation.— The term 'relative' shall have the same meaning as is assigned to it under sub- section (77) of section 2 of the Companies Act, 2013. To maintain proper books of accounts and records, etc. 17. (1) Every Registrar to an Issue and Share Transfer Agent shall keep and maintain the following books of accounts and documents, namely: - (a) a copy of balance sheet at the end of each accounting period; (b) a copy of the profit and loss account at the end of each accounting period; (c) a copy of the auditor's report on the accounts for each accounting period; and (d) a statement of net worth for each quarter. [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 31 (2) Every registrar to an issue and share transfer agent which handles issues shall maintain the following records with respect to:- a. all the applications received from investors in respect of an issue; b. all applications of investors rejected and reasons therefor; c. basis of allotment of securities to the investors as finalised in consultation with the stock exchange; d. terms and conditions of purchase of securities; e. allotment of securities; f. list of names of allottees and non-allottees of the securities; g. refund orders dispatched to investors in respect of application monies received from them in response to an issue; h. such other records as may be specified by the Board. (3) Every registrar to an issue and share transfer agent shall maintain the following records in respect of a body corporate on whose behalf it is carrying on the activities as transfer agent namely:- a. list of holders of securities of such body corporate; b. the names of transferor and transferee and the dates of transfer of securities; c. such other records as may be specified by the Board. (4) Every registrar to an issue and share transfer agent shall intimate the Board the place where the books of accounts, records and documents are maintained. (5) Without prejudice to sub- regulation (1), every Registrar to an Issue and Share Transfer Agent shall, after the close of each financial year as soon as possible but not later than six months from the close of the said period furnish to the Board if so required copies of the balance sheet, profit and loss account, statement of net worth requirement and such other documents as may be required by the Board under this regulation. Maintenance of records. 18. Subject to provisions of any other law, the registrar to an issue and share transfer agent shall preserve the books of accounts and other records and documents maintained under regulation 17 for a minimum period of eight years. Appointment of a Compliance Officer. 19. (1) Every Registrar to an Issue and Share Transfer Agent shall appoint a compliance officer who shall be responsible for monitoring the compliance of the Act, rules and regulations, notifications, guidelines, instructions etc. issued by the Board or the Central Government and for redressal of investors' grievances. (2) The compliance officer shall immediately and independently report to the Board any non- compliance observed by him. Dispute Resolution 20. All claims, differences or disputes between a Registrar to an Issue and Share Transfer Agent and its client and investor arising out of or in relation to the activities of the Registrar to an Issue and Share Transfer Agent in the securities market shall be submitted to a dispute resolution mechanism that includes mediation and/or conciliation and/or arbitration, in accordance with the procedure specified by the Board. 32 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] Grievance Redressal Mechanism. 21. (1) The Registrar to an Issue and Share Transfer Agent shall redress investor grievances promptly but not later than twenty-one calendar days from the date of receipt of the grievance and in such manner as may be specified by the Board. (2) The Board may also recognize a body corporate for handling and monitoring the process of grievance redressal within such time and in such manner as may be specified. Investor Charter. 22. The Registrar to an Issue and Share Transfer Agent shall ensure compliance with the Investor Charter specified by the Board from time to time. CHAPTER IV INSTITUTIONAL MECHANISM FOR PREVENTION AND DETECTION OF FRAUD OR MARKET ABUSE Senior management oversight 23. (1) The Chief Executive Officer, Managing Director or such other equivalent person of the registrar to an issue and share transfer agent shall be responsible for establishing and maintaining adequate systems of internal control to ensure compliance with these regulations and to prevent fraud. (2) The Board of Directors or head(s) of the registrar to an issue and share transfer agent shall ensure that Chief Executive Officer, Managing Director or such other equivalent person complies with these requirements. (3) Compliance officer of registrar to an issue and share transfer agent shall monitor the internal controls and place periodic reports before the Audit Committee or an equivalent body. (4) The audit committee or equivalent body of the registrar to an issue and share transfer agent shall, at least once in each financial year, review the adequacy and effectiveness of the internal control systems and compliance with these regulations. Robust Surveillance Systems 24. The registrar to an issue and share transfer agent shall have in place robust surveillance systems and internal control procedures that are commensurate with the nature of business and the size of its operations, to detect potential fraud by promoters, employees including senior management, directors or analogous persons. Escalation and reporting mechanisms 25. The registrar to an issue and share transfer agent shall have in place a documented escalation process to ensure that instances of actual or potential fraud, misconduct, or suspicious activity are promptly reported to senior management and the Board of Directors. Whistle blower policy 26. (1) The registrar to an issue and share transfer agent shall establish, implement and maintain a documented whistle blower policy providing a confidential channel for employees and stakeholders to report suspected fraud, unethical conduct, regulatory or legal violations, or governance vulnerabilities, without fear of retaliation. (2) The policy shall include procedures for ensuring adequate protection of whistle-blowers and for fair and timely investigation of complaints [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 33 (3) The complaints under this regulation against the Board of Directors including those against the Managing Director, Chief Executive Officer or equivalent, key managerial personnel, Designated Directors or Promoter shall be addressed to the Audit Committee or other equivalent body of the registrar to an issue and share transfer agent and the complaints against other employees shall be addressed to the Compliance Officer. CHAPTER V INSPECTION AND DISCIPLINARY PROCEEDINGS Board's right to inspect. 27. (1) The Board may appoint one or more persons as inspecting authority to undertake inspection of the books of accounts, records and documents of the registrar to an issue and share transfer agent for any of the purposes specified in sub- regulation (2). (2) The purposes referred to in sub-regulation (1) may be as follows: (a) to ensure that the books of accounts, records and documents are being maintained in the manner required; (b) to ensure that the provisions of the Act, rules, regulations and the provisions of the Securities Contracts (Regulation) Act, 1956, (42 of 1956) and the rules made thereunder are being complied with; (c) to investigate into complaints received from investors, other registrars to an issue and share transfer agents or any other person in the securities market on any matter having a bearing on the activities of the registrar to an issue and share transfer agent; (d) to investigate suo-moto in the interest of securities market or investors’ interest into the affairs of the registrar to an issue and share transfer agent. Procedure for inspection. 28. (1) Before undertaking an inspection under regulation 27, the Board shall give a reasonable notice to the registrar to an issue and share transfer agent. (2) Notwithstanding anything contained in sub-regulation (1), where the Board is satisfied that in the interest of the investors or in public interest no such notice should be given, it may by an order in writing direct that the inspection of the affairs of the registrar to an issue and share transfer agent be taken up without such notice. (3) During the course of inspection, the registrar to an issue and share transfer agent against whom an inspection is being carried out shall be bound to discharge his obligations as provided under regulation 29. Obligations of registrar to an issue and share transfer agent on inspection by the Board. 29. (1) It shall be the duty of every director, proprietor, partner, officer and employee of the registrar to an issue and share transfer agent, who is being inspected, to produce to the inspecting authority such books, accounts and other documents in his custody or control and furnish him with the statements and information relating to the transactions in securities market within such time as the inspecting authority may require. (2) The registrar to an issue and share transfer agent shall allow the inspecting authority to have a reasonable access to the premises occupied by them or by any other person on their behalf and also extend reasonable facility for examining any books, records, documents and computer data in the 34 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] possession of the registrar to an issue and share transfer agent or any other person on their behalf and also provide copies of documents or other materials which, in the opinion of the inspecting authority are relevant. (3) The inspecting authority shall, in the course of inspection, be entitled to examine or record statements of any member, director, partner, proprietor and employee of the registrar to an issue and share transfer agent. (4) It shall be the duty of every director, proprietor, partner, officer or employee of the registrar to an issue and share transfer agent to give to the inspecting authority all assistance in connection with the inspection, which the registrar to an issue and share transfer agent may be reasonably be expected to give. Submission of Report to the Board. 30. The inspecting authority shall, as soon as possible, submit an inspection report to the Board. Action on inspection or investigation report. 31. The Board or the Chairman shall after consideration of the inspection or investigation report, take such action as the Board or Chairman may deem fit and appropriate including action under Chapter V of the Securities and Exchange Board of India (Intermediaries) Regulations, 2008. Appointment of Auditor. 32. Notwithstanding anything contained above, the Board may appoint a qualified auditor to investigate into the books of account or the affairs of the registrar to an issue and share transfer agent: Provided that the auditor so appointed shall have the same powers of the inspecting authority as mentioned in regulation 27 and the obligations of the registrar to an issue and share transfer agent in regulation 29 shall be applicable to the investigation under this regulation. Explanation. ─ The expression "qualified auditor" shall have the same meaning as given to it under section 141 of the Companies Act, 2013 (18 of 2013). CHAPTER VI PROCEDURE FOR ACTION IN CASE OF DEFAULT Liability for action in case of default. 33. A registrar to an issue and share transfer agent who- (a) fails to comply with any conditions subject to which registration has been granted; (b) contravenes any of the provisions of the Act, rules or regulations; (c) contravenes the provisions of the Securities Contracts (Regulation) Act, 1956 (42 of 1956) or the rules made thereunder; (d) contravenes the provisions of the Depositories Act, 1996 or the rules made thereunder; (e) contravenes the rules, regulations or bye-laws of the stock exchange, shall be dealt with in the manner provided under chapter V of the Securities and Exchange Board of India (Intermediaries) Regulations, 2008. [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 35 CHAPTER VII POWER TO RELAX STRICT ENFORCEMENT OF THE REGULATIONS Exemption from enforcement of the regulations in special cases. 34. (1) The Board may, exempt any person or class of persons from the operation of all or any of the provisions of these regulations for a period as may be specified but not exceeding twelve months, for furthering innovation relating to testing new products, processes, services, business models, etc. in live environment of regulatory sandbox in the securities markets. (2) Any exemption granted by the Board under sub-regulation (1) shall be subject to the applicant satisfying such conditions as may be specified by the Board including conditions to be complied with on a continuous basis. Explanation.— For the purposes of these regulations, "regulatory sandbox" means a live testing environment where new products, processes, services, business models, etc. may be deployed on a limited set of eligible customers for a specified period of time, for furthering innovation in the securities market, subject to such conditions as may be specified by the Board. Power to relax strict enforcement of the regulations on the basis of application 35. (1) The Board may either suo moto or upon receipt of an application made in this regard, in the interest of investors and securities market and for the development and regulation of securities market, relax the strict enforcement of any requirements of these regulations, if the Board is satisfied that: (a)the requirement may cause undue hardships to investors; or (b)the requirement is procedural or technical in nature; or (c)the non-compliance is caused due to factors beyond the control of the person. (2) For seeking relaxation under sub-regulation (1), an application, detailing the grounds on which such relaxation has been sought, shall be filed with the Board along with a non-refundable fee, as specified from time to time. (3) The Board shall process such application and shall record reasons for acceptance or refusal of relaxations sought by the applicant. (4) The Board may seek recommendation from a stock exchange or clearing corporation, as it may deem fit, in order to process the application. CHAPTER VIII MISCELLANEOUS Power to remove difficulties 36. In order to remove any difficulties in the interpretation or application of the provisions of these regulations, the Board shall have the power to issue directions through guidance notes or circulars. 36 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] Power to specify procedures, etc. and issue clarifications 37. For the purposes of implementation of these regulations and matters incidental thereto, the Board may specify norms, procedures, processes, manners or guidelines as specified in these regulations, by way of circulars to recognised stock exchanges and listed companies. Repeal and Savings. 38. (1) On and from the commencement of these regulations, the Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 1993 shall stand repealed. (2) Notwithstanding such repeal, anything done or any action taken or purported to have been done or taken including any observation made in respect of inspection, any enquiry or investigation commenced or show cause notice issued in respect of the said Regulations shall be deemed to have been done or taken under the corresponding provisions of these regulations. (3) After the repeal of Securities and Exchange Board of India (Registrar to an Issue and Share Transfer Agents) Regulations, 1993, any reference thereto in any other regulations made, guidelines or circulars issued thereunder by the Board shall be deemed to be a reference to the corresponding provisions of these regulations. Every registrar to an issue and share transfer agent shall pay a non-refundable fee of twenty thousand rupees along with the application for grant of certificate of registration under sub-regulation (1) of regulation 4. 2. Every registrar to an issue and share transfer agent shall pay a registration fee of six lakh rupees, within fifteen days from the date of receipt of information from the Board, at the time of grant of certificate of registration. 3. A registrar to an issue and share transfer agent who has been granted a certificate of registration, to keep its registration in force, shall pay fee of two lakhs and seventy thousand rupees, every three years from the sixth year, from the date of grant of certificate of registration. 4. (a) The fee referred to in paragraph 3 shall be paid by the registrar to an issue and share transfer agent one month before the expiry of the block for the which fee has been paid. (b) The registrars to an issue and share transfer agents registered under Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 1993 prior to the commencement of these regulations, and carrying on the activities of registrar to an issue or share transfer agent, shall either: (i) continue carrying on the activities of a registrar to an issue or share transfer agent as permitted under Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Regulations), 1993 till the expiry of the ongoing fee block for which fee has been paid; or (ii) perform the activities of a registrar to an issue and share transfer agent as defined under regulation 2(1)(k) of these regulations by paying the differential amount of fees on pro-rata basis, after complying with all other necessary requirements and conditions under these regulations. 5. The fee specified in paragraphs 1, 2 and 3 shall be payable by the Registrar to an Issue and Share Transfer Agent by way of direct credit in the bank account through online payment using SEBI payment gateway. SCHEDULE III [Regulation 15] CODE OF CONDUCT 1. A Registrar to an Issue and Share Transfer Agent shall maintain high standards of integrity in the conduct of its business. 2. A Registrar to an Issue and Share Transfer Agent shall fulfil its obligations in a prompt, ethical and professional manner. 3. A Registrar to an Issue and Share Transfer Agent shall at all times exercise due diligence, ensure proper care and exercise independent professional judgment. 4. A Registrar to an Issue and Share Transfer Agent shall exercise adequate care, caution and due diligence before dematerialisation of securities by confirming and verifying that the securities to be dematerialized have been granted listing permission by the stock exchange/s. 5. A Registrar to an Issue and Share Transfer Agent shall always endeavor to ensure that - a. inquiries from investors are adequately dealt with; b. grievances of investors are redressed without any delay; c. confirmation of dematerialisation / rematerialisation requests and distribution of corporate benefits and allotment of securities is done within the time specified under any law . 42 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 6. A Registrar to an Issue and Share Transfer Agent shall make reasonable efforts to avoid misrepresentation and ensure that the information provided to the investors is not misleading. 7. A Registrar to an Issue and Share Transfer Agent shall not reject the dematerialisation / rematerialisation requests on flimsy grounds. Such request could be rejected only on valid and proper grounds and supported by relevant documents. 8. A Registrar to an Issue and Share Transfer Agent shall avoid conflict of interest and make adequate disclosure of its interest. 9. A Registrar to an Issue and Share Transfer Agent shall put in place a mechanism to resolve any conflict of interest situation that may arise in the conduct of its business or where any conflict of interest arises, shall take reasonable steps to resolve the same in an equitable manner. 10. A Registrar to an Issue and Share Transfer Agent shall make appropriate disclosure to the client of its possible source or potential areas of conflict of duties and interest which would impair its ability to render fair, objective and unbiased services. 11. A Registrar to an Issue and Share Transfer Agent shall not indulge in any unfair competition, which is likely to harm the interests of other Registrar to the issue and Share Transfer Agent or investors or is likely to place such other Registrar in a disadvantageous position in relation to the Registrar to issue and Share Transfer Agent while competing for or executing any assignment. 12. A Registrar to an Issue and Share Transfer Agent shall always endeavor to render the best possible advice to the clients having regard to their needs. 13. A Registrar to an Issue and Share Transfer Agent shall not divulge to other clients, press or any other person any confidential information about its clients which has come to its knowledge except with the approval / authorisation of the clients or when it is required to disclose the information under any law for the time being in force. 14. A Registrar to an Issue and Share Transfer Agent shall not discriminate amongst its clients, save and except on ethical and commercial considerations. 15. A Registrar to an Issue and Share Transfer Agent shall ensure that any change in registration status / any penal action taken by the Board or any material change in financials which may adversely affect the interests of clients / investors is promptly informed to the clients. 16. A Registrar to an Issue and Share Transfer Agent shall maintain the required level of knowledge and competency and abide by the provisions of the Act, rules, regulations, circulars and directions issued by the Board. 17. A Registrar to an Issue and Share Transfer Agent shall co-operate with the Board as and when required. 18. A Registrar to an Issue and Share Transfer Agent shall not neglect or fail or refuse to submit to the Board or other agencies with which he is registered, such books, documents, correspondence, and papers or any part thereof as may be demanded / requested from time to time. 19. A Registrar to an Issue and Share Transfer Agent shall ensure that the Board is promptly informed about any action, legal proceeding etc. initiated against it in respect of any material breach or non- compliance by it, of any law, rules, regulations, directions of the Board or of any other regulatory body. 20. A Registrar to an Issue and Share Transfer Agent shall take adequate and necessary steps to ensure that continuity in data and record keeping is maintained and that the data or records are not lost or destroyed. Further, it shall ensure that for electronic records and data, up-to-date back up is always available with it. 21. A Registrar to an Issue and Share Transfer Agent shall endeavor to resolve all the complaints against it or in respect of the activities carried out by it as quickly as possible. 22. (a) A Registrar to an Issue and Share Transfer Agent or any of its employees shall not render, directly or indirectly any investment advice about any security in the publicly accessible media, [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 43 whether real-time or non-real time, unless a disclosure of its long or short position in the said security has been made, while rendering such advice. (b) In case, an employee of a Registrar to an Issue and Share Transfer Agent is rendering such advice, the Registrar to an Issue and Share Transfer Agent shall ensure that it also discloses its own interest, the interests of his dependent family members and that of the employer including their long or short position in the said security, while rendering such advice. 23. A Registrar to an Issue and Share Transfer Agent shall hand-over all the records/ data and all related documents which are in its possession in its capacity as a Registrar to an Issue and Share Transfer Agent to the respective clients, within one month from the date of termination of agreement with the respective clients or within one month from the date of expiry/cancellation of certificate of registration as Registrar to an Issue and Share Transfer Agent, whichever is earlier. 24. A Registrar to an Issue and Share Transfer Agent shall not make any exaggerated statement, whether oral or written, to the clients either about its qualifications or capability to render certain services or about its achievements in regard to services rendered to other clients. 25. A Registrar to an Issue and Share Transfer Agent shall ensure that it has satisfactory internal control procedures in place as well as adequate financial and operational capabilities which can be reasonably expected to take care of any losses arising due to theft, fraud and other dishonest acts, professional misconduct or omissions. 26. A Registrar to an Issue and Share Transfer Agent shall provide adequate freedom and powers to its compliance officer for the effective discharge of its duties. 27. A Registrar to an Issue and Share Transfer Agent shall develop its own internal code of conduct for governing its internal operations and laying down its standards of appropriate conduct for its employees and officers in carrying out its duties as a Registrar to an Issue and Share Transfer Agent and as a part of the industry. Such a code may extend to the maintenance of professional excellence and standards, integrity, confidentiality, objectivity, avoidance of conflict of interests, disclosure of shareholdings and interests etc. 28. A Registrar to an Issue and Share Transfer Agent shall ensure that good corporate policies and corporate governance are in place. 29. A Registrar to an Issue and Share Transfer Agent shall ensure that any person it employs or appoints to conduct business is fit and proper and otherwise qualified to act in the capacity so employed or appointed (including having relevant professional training or experience). 30. A Registrar to an Issue and Share Transfer Agent shall be responsible for the acts or omissions of its employees and agents in respect of the conduct of its business. 31. A Registrar to an Issue and Share Transfer Agent shall not, in respect of any dealings in securities, be party to or instrumental for - d. creation of false market; e. price rigging or manipulation; f. passing of unpublished price sensitive information in respect of securities which are listed and proposed to be listed in any stock exchange to any person or intermediary.
