This is in continuation with Exchange notice no 20260731-23 dated July 31, 2026 for the Delisting Offer of NITIN CASTINGS LIMITED (“Target Company”) made by Mr. Nirmal B Kedia (Acquirer -1), Mr. Nitin S Kedia (Acquirer -2), and M/s. Citrus Castings Private Limited (Acquirer -3) (Acquirer-1, Acquirer-2 and Acquirer-3 are hereinafter collectively referred to as the “Acquirers”to acquire 14,70,894 Equity Shares of face value of Rs.5.00/- each (‘Equity Shares’) held by the Public Shareholders at the floor price of Rs. 273.36/- per equity share aggregating up to Rs. 40,20 Crs through the reverse book-building process (“RBBP”) in respect of Delisting of Equity Shares of the Company, in accordance with the SEBI Delisting Regulations from Wednesday, August 05, 2026, to Tuesday, August 11, 2026.
MUFG Intime India Private Limited (Formerly known as Link Intime India Private Limited) (“Registrar to the Delisting Offer”) and Navigant Corporate Advisors Limited (“Manager to the Delisting Offer”) have analysed the bids data received from BSE and in consultation with the Acquirers and Registrar to the Delisting Offer, the outcome of the Reverse Book Building Process (“RBBP”) is hereby disclosed and announced in terms of Regulation 17 (3) of the SEBI Delisting Regulations.
The outcome dated 11th August 2026 is attached herewith for your reference.
