सा.का.नि. 548(अ).—केन्द्रीय सरकार, प्रतिस्पर्धा अधिनियम, 2002 (2003 का 12) की धारा 63 की उपधारा (2) के खंड (कग) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, निम्नलिखित नियम बनाती है, अर्थात् :-

1. संक्षिप्त नाम और प्रारंभ.—(1) इन नियमों का संक्षिप्त नाम प्रतिस्पर्धा (संयोजन का मापदण्ड) नियम, 2024 है।

(2) ये 10 सितम्बर, 2024 को प्रवृत्त होंगे।

2. परिभाषाएँ.—(1) इन नियमों में, जब तक कि संदर्भ में अन्यथा अपेक्षित न हो, "अधिनियम" से प्रतिस्पर्धा अधिनियम, 2002 (2003 का 12) अभिप्रेत है;

(2) उन शब्दों और पदों के जो इसमें प्रयुक्त हैं और परिभाषित नहीं हैं वही अर्थ होंगे जो उस अधिनियम में हैं।

3. संयोजन का मापदंड.—(1) अधिनियम की धारा 6 की उपधारा (4) के प्रयोजनों के लिए, संयोजन के पक्षकार, उनकी संबंधित समूह संस्थाएँ और संबद्ध संस्थाएं जो निम्नलिखित मापदण्डों को पूरा करते है, उस उपधारा के अधीन ऐसे संयोजन के लिए नोटिस दे सकते है, अर्थात् :-

(क) वे समान या समरूप या प्रतिस्थापन योग्य उत्पाद या सेवा का उत्पादन या प्रदान नहीं करते हैं;

(ख) वे उत्पाद या सेवा के उपबंध में उत्पादन, आपूर्ति, वितरण, भंडारण, विक्रय और सेवा या व्यापार से संबंधित किसी भी कार्यकलाप से संबद्ध नहीं हैं.-

• (i) जो उत्पादन के विभिन्न चरण या स्तर पर हैं; या
• (ii) जो एक दूसरे के पूरक हैं।

(2) इन नियमों में,-

(क) संयोजन के पक्ष और उनकी संबंधित समूह ईकाइयों से अभिप्रेत है:

• (i) अधिग्रहणकर्ता और एक ही समूह का हिस्सा बनने वाली अन्य ईकाइयों का अंतिम नियंत्रण व्यक्ति;
• (ii) उद्यम का अधिग्रहण किया जा रहा है और इसकी डाउनस्ट्रीम ईकाइयां इसके समूह का हिस्सा हैं;
• (iii) उद्यमों का विलय या समामेलन किया जा रहा है, उनके नियंत्रण व्यक्ति और ईकाइयों उनके समूह का हिस्सा हैं।

(ख) एक उद्यम को दूसरे उद्यम का सहयोगी माना जाता है यदि उस दूसरे उद्यम के पास:

• (i) उस उद्यम की दस प्रतिशत या उससे अधिक की शेयरधारिता या मताधिकार हैं; या
• (ii) उद्यम के निदेशक मंडल में निदेशक के रूप में या पर्यवेक्षक के रूप में प्रतिनिधित्व करने का अधिकार या क्षमता है; या
• (iii) उद्यम की व्यावसायिक रूप से संवेदनशील जानकारी प्राप्त करने का अधिकार या क्षमता है।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION

New Delhi, the 9th September, 2024

G.S.R. 548 (E).—In exercise of the powers conferred by clause (ac) of sub-section (2) of section 63 of the Competition Act, 2002 (12 of 2003), the Central Government hereby makes the following rules, namely:-

1. Short title and commencement.– (1) These rules may be called the Competition (Criteria of Combination) Rules, 2024.

(2) They shall come into force with effect from the $10^{\text{th}}$ day of September, 2024.

2. Definitions.– (1) In these rules, unless the context otherwise requires, "Act" means the Competition Act, 2002 (12 of 2003).

(2) The words and expressions used in these rules but not defined, shall have the same meanings, respectively assigned to them in the Act.

3. Criteria of Combination.– (1) For the purposes of sub-section (4) of section 6 of the Act, the parties to a combination, their respective group entities and their affiliates who fulfils the following criteria, may give notice for such combination under that sub-section, namely: -

• (a) they do not produce or provide similar or identical or substitutable product or service;
• (b) they are not engaged in any activity relating to production, supply, distribution, storage, sale and service or trade in product or provision of service,–
  • (i) which are at different stage or level of production; or
  • (ii) which are complementary to each other.

(2) In these rules,––

• (a) the parties to the combination and their respective group entities means––
  • (i) the ultimate controlling person of the acquirer and other entities forming part of the same group;
  • (ii) the enterprise being acquired and its downstream entities forming part of its group;
  • (iii) enterprises being merged or amalgamated, their controlling persons, and entities forming part of their group.
• (b) an enterprise is considered to be an affiliate of another enterprise if that another enterprise has–
  • (i) ten per cent. or more of the shareholding or voting rights of the enterprise; or
  • (ii) right or ability to have a representation on the board of directors of the enterprise either as a director or as an observer; or
  • (iii) right or ability to access commercially sensitive information of the enterprise.
