सा.का.नि. 443(अ).— केन्द्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 23 की उपधारा (3) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (अनुज्ञेय अधिकारिताओं में साधारण शेयर सूचीबद्ध करना) नियम, 2024 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है अर्थात् :-

1. (1) इन नियमों का संक्षिप्त नाम कंपनी (अनुज्ञेय अधिकारिताओं में साधारण शेयर सूचीबद्ध करना) संशोधन नियम, 2025 है। (2) ये नियम राजपत्र में इनके प्रकाशन की तारीख से प्रवृत्त होंगे।

2. कंपनी (अनुज्ञेय अधिकारिताओं में साधारण शेयर सूचीबद्ध करना) नियम, 2024 की, दूसरी अनुसूची के, प्ररूप सं. लीप-1 के स्थान पर, निम्नलिखित प्ररूप रखा जाएगा अर्थात्:-

“प्ररूप सं. लीप-1 रजिस्ट्रार के समक्ष प्रोस्पेक्टस को प्रस्तुत करने संबंधी प्ररूप (अनुज्ञेय अधिकारिता-1 में साधारण शेयरों का सूचीकरण) [कंपनी अधिनियम, 2013 की धारा 23 की उप-धारा (3) और कंपनी (अनुज्ञेय अधिकारिताओं में साधारण शेयर सूचीबद्ध करना) नियम, 2024 के नियम 4 के अनुसरण में]

प्ररूप की भाषा ● अंग्रेजी ● हिंदी

प्ररूप दायर करते समय अनुदेशशका किट का संदर्भ लें *से चिन्हित सभी फील्ड अनिवार्य हैं।

टिप्पण: कंपनी अधिनियम, 2013 की धारा 448 और धारा 449 के उपबंधों की ओर भी ध्यान आकर्षित किया जाता है जिनके अधीन क्रमशः कपट के लिए दंड, झूठे वक्तव्य के लिए दंड और झूठे साक्ष्य के लिए दंड का उपबंध करती है।

G.S.R. 443(E).—In exercise of the powers conferred by sub-section (3) of section 23 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules to amend the Companies (Listing of equity shares in permissible jurisdictions) Rules, 2024, namely: ̶

1. (1) These rules may be called the Companies (Listing of equity shares in permissible jurisdictions) Amendment Rules, 2025. (2) They shall come into force from the date of their publication in the Official Gazette.

2. In the Companies (Listing of equity shares in permissible jurisdictions) Rules, 2024, in the Second Schedule, for Form LEAP – 1, the following form shall be substituted, namely: ̶
