सा.का.नि. 427(अ).— केन्द्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 की उप-धारा (1) और (2) और धारा 2 के खंड (87) के परंतुक द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (स्तरों की संख्या पर निर्बंधन) नियम, 2017 का संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात:-

1. संक्षिप्त नाम और प्रारंभ.- (1) इन नियमों का संक्षिप्त नाम कंपनी (स्तरों की संख्या पर निर्बंधन) संशोधन नियम, 2025 है। (2) ये 14 जुलाई, 2025 को प्रवृत्त होंगे।

2. कंपनी (स्तरों की संख्या पर निर्बंधन) नियम, 2017 में, उपाबंध में, प्ररूप सीआरएल-1 के स्थान पर, निम्नलिखित प्ररूप रखा जाएगा, अर्थात: -

प्ररूप सं. सीआरएल-1 लेयर्स की संख्या के संबंध में विवरणी [कंपनी अधिनियम, 2013 की धारा 2(87) के परंतुक और कंपनी (लेयर्स की संख्या पर प्रतिबंध) नियम 2017 के नियम 2(4)(i) के अनुसरण में]

प्ररूप की भाषा ● अंग्रेजी ● हिंदी

प्ररूप फाइल करते समय अनुदेशिका किट का संदर्भ लें *से चिह्नित सभी फील्ड अनिवार्य हैं।

घोषणा मैं कंपनी के निदेशक मंडल द्वारा संकल्प संख्या ________ दिनांक दिन/माह/वर्ष ________ के तहत इस प्ररूप पर हस्ताक्षर करने तथा यह घोषणा करने के लिए अधिकृत हूँ कि इस प्ररूप की विषयवस्तु तथा इससे संबंधित मामलों के लिए कंपनी अधिनियम, 2013 तथा उसके अधीन बनाए गए नियमों की सभी अपेक्षाओं का अनुपालन किया गया है। मैं यह भी घोषणा करता हूँ कि इस प्ररूप में दी गई अनुषंगी कंपनियों तथा लेयर्स की जानकारी सत्य, सही तथा पूर्ण है तथा कोई भी जानकारी छिपाई या दबाई नहीं गई है।

टिप्पण: कंपनी अधिनियम, 2013 की धारा 448 और 449 के प्रावधानों पर भी ध्यान आकर्षित किया जाता है जो क्रमशः झूठे बयान/प्रमाण पत्र के लिए दंड और झूठे साक्ष्य के लिए दंड का प्रावधान करते हैं।

यह ई-प्ररूप इलेक्ट्रॉनिक मोड के माध्यम से कंपनी रजिस्ट्रार द्वारा रखी गई फाइल पर और कंपनी द्वारा दिए गए शुद्धता के बयान के आधार पर लिया गया है।

केवल कार्यालय उपयोग के लिए: ई-प्ररूप सेवा अनुरोध संख्या (एसआरएन) ई-प्ररूप फाइल करने की तिथि (दिन/माह/वर्ष)

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 27th June, 2025

G.S.R. 427(E).— In exercise of the powers conferred by proviso to clause (87) of section 2 and sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules to amend Companies (Restriction on number of layers) Rules, 2017 namely:—

1. Short title and commencement. - (1) These rules may be called the Companies (Restriction on number of layers) Amendment Rules, 2025. (2) They shall come into force on the 14th day of July, 2025.

2. In the Companies (Restriction on number of layers) Rules, 2017, in the Annexure, for Form CRL-1, the following form shall be substituted, namely: —

Form No. CRL-1 Return regarding number of layers [Pursuant to proviso to section 2(87) of the Companies Act, 2013 and rule 2(4)(i) of the Companies (Restriction on number of layer) Rules, 2017]
