सा.का.जन. 475(अ)।— केंद्रीय सरकार, सीधित दाधयत्व भागीदारी अधिधनयि, 2008 (2009 का 6) की िारा 79 की उपिारा (1) और उपिारा (2) द्वारा प्रदत्त शधियों का प्रयोग करते हुए, सीधित दाधयत्व भागीदारी धनयि, 2009 का और संशोिन करने के धिए धनम्नधिधित धनयि बनाती है, अर्ाात ्ः-

1. (1) इन धनयिों का संधिप्त नाि सीधित दाधयत्व भागीदारी (संशोिन) धनयि, 2024 है।

• (2) वे 27 अगस्त, 2024 से प्रवृत्त होंगे।

2. सीधित दाधयत्व भागीदारी धनयि, 2009 के, धनयि 37 िें,-

• (1) उपधनयि (1) िें,-
• (क) िण्ड (ि) िें, “रधिस्रार” शब्द के पश्चात , “,त्वररत कारपोरेट धनकास प्रसंस्करण केंद्र” शब्द अंत्ःस्र्ाधपत ककए िाएंगे;
• (ि) पहिे परन्तुक िें, "रधिस्रार" शब्द के पश्चात , ", त्वररत कारपोरेट धनकास प्रसंस्करण केंद्र” शब्दों को अंत्ःस्र्ाधपत ककया िाएगा;
• (ग) धनम्नधिधित स्पष्टीकरण अत्ःस्र्ाधपत ककया िाएगा, अर्ाात ्ः-

"स्पष्टीकरण- इस उपधनयि के प्रयोिन के धिए, त्वररत कारपोरेट धनकास प्रसंस्करण केंद्र से केंद्रीय सरकार द्वारा कंपनी अधिधनयि, 2013 (2013 का 18) की िारा 396 की उपिारा (1) और उपिारा (2) के अिीन िारी अधिसूचना संख्या का.आ. 1269(अ), तारीि 17 िाचा, 2023 द्वारा स्र्ाधपत त्वररत कारपोरेट धनकास प्रसंस्करण केंद्र अधभप्रेत है";

• (ii) उपधनयि (3) िें, "रधिस्रार, यकद सीधित दाधयत्व भागीदारी द्वारा इसके प्रधतकूि दशााया नहीं िाता है, अर्वा रधिस्रार का सिािान है" शब्दों के स्र्ान पर "रधिस्रार, त्वररत कारपोरेट धनकास प्रसंस्करण केन्द्र यकद, यर्ाधस्र्धत, सीधित दाधयत्व भागीदारी द्वारा इसके प्रधतकूि दशााया नहीं िाता है, अर्वा रधिस्रार, त्वररत कारपोरेट धनकास प्रसंस्करण केन्द्र का सिािान है" शब्द रिे िाएंगे,
• (iii) उपधनयि (4) िें, “रधिस्रार” शब्द के पश्चात , “त्वररत कारपोरेट धनकास प्रसंस्करण केंद्र” शब्द अंत्ःस्र्ाधपत ककए िाएंगे,

रटप्पण्ः- िूि धनयि भारत के रािपत्र िें, अधिसूचना संख्या सा.का.धन. 229 (अ) तारीि 01 अप्रैि, 2009 के द्वारा प्रकाधशत ककये गए र्े और अधिसूचना संख्या सा.का. धन. 803 (अ) तारीि 27 अिूबर, 2023 के द्वारा अंधति बार संशोधित ककए गए र्े।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 5th August, 2024

**G.S.R. 475(E).—**In exercise of the powers conferred by sub-sections (1) and (2) of section 79 of the Limited Liability Partnership Act, 2008 (6 of 2009), the Central Government hereby makes the following rules further to amend the Limited Liability Partnership Rules, 2009, namely: -

1. (1) These rules may be called the Limited Liability Partnership (Amendment) Rules, 2024.

• (2) They shall come into force with effect from 27th day of August, 2024.

2. In the Limited Liability Partnership Rules, 2009, in rule 37,-

• (i) in sub-rule (1),-
• (A) in clause (b), after the word "Registrar", the words "the Centre for Processing Accelerated Corporate Exit" shall be inserted;
• (B) in the first proviso, after the word "Registrar", the words "the Centre for Processing Accelerated Corporate Exit" shall be inserted;
• (C) the following Explanation shall be inserted, namely:-

"Explanation.- for the purposes of this sub-rule, the Centre for Processing Accelerated Corporate Exit means the office of Centre for Processing Accelerated Corporate Exit established by the Central Government, vide notification number S.O. 1269(E), dated 17th March, 2023 issued under sub-sections (1) and (2) of section 396 of the Companies Act, 2013 (18 of 2013)";

• (ii) in sub-rule (3), after the word "Registrar" occurring at both places, the words "or the Centre for Processing Accelerated Corporate Exit, as the case may be” shall be inserted;
• (iii) in sub-rule (4), after the word "Registrar", the words "or the Centre for Processing Accelerated Corporate Exit, as the case may be” shall be inserted;

Note: The principal rules, were published in the Gazette of India, vide notification number G.S.R. 229 (E) dated the 01st April, 2009 and last amended, vide notification number G.S.R 803 (E) dated the 27th October, 2023.
