सा.का.जन. 491(अ).— केंद्रीर् सरकार, कंपनी अजधजनर्म, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 380 की उपधारा (1) के खंड (ग) और खंड (ि), और उपधारा (3), धारा 381 की उपधारा (1) के खंड (क) और उपधारा (3), धारा 385, धारा 386 के खंड (क), धारा 389 और धारा 390 द्वारा प्रित्त िजिर्ों का प्रर्ोग करते हुए कंपनी (जििेिी कंपजनर्ों का रजिस्ट्रीकरण) जनर्म, 2014 में आगे और संिोधन करने हेतु जनम्नजलजखत जनर्म बनाती है, अथायतः-

1. (1) इन जनर्मों का नाम कंपनी (जििेिी कंपजनर्ों का रजिस्ट्रीकरण) संिोधन जनर्म, 2024 है।

(2) र्े जनर्म 09 जसतंबर, 2024 को प्रिृत्त होंगे।

2. कंपनी (जििेिी कंपजनर्ों का रजिस्ट्रीकरण) जनर्म, 2014 (इसके पश्चात् उि जनर्म कहा गर्ा है) में,-

• (i) जनर्म 3 के, उपजनर्म (3) में, ‘रजिस्ट्टार’ िब्ि के स्ट्थान पर, ‘रजिस्ट्रार, केंद्रीर् रजिस्ट्रीकरण केंद्र’ िब्िों को रखा िाएगा।
• (ii) जनर्म के जनर्म 8 के, उपजनर्म (1) में, जनम्नजलजखत परंतुक अंतःस्ट्थाजपत दकर्ा िाएगा, अथायतः-

“परंतु र्ह दक जनर्म 3 के उपजनर्म (3) में जिजनर्ियष्ट जििेिी कंपनी द्वारा रजिस्ट्रीकरण के जलए िस्ट्तािेि, प्ररूप एफसी-1 में रजिस्ट्रार, केंद्रीर् रजिस्ट्रीकरण केंद्र को सौंपे िाएंगे।”।

ठटप्पणः मूल जनर्म भारत के रािपत्र, असाधारण, भाग II, खंड 3, उप-खंड (i) में सा.का.जन. संखर्ांक 266(अ), तारीख 31 मािय, 2014 द्वारा प्रकाजित दकए गए थे तथा सा.का.जन. संखर्ांक 36(अ) तारीख 20 िनिरी, 2023 द्वारा अंजतम बार संिोजधत दकए गए।

G.S.R. 491(E).— In exercise of the powers conferred by clause (c) and clause (h) of sub-section (1) and sub-section (3) of section 380, clause (a) of sub-section (1) and sub-section (3) of section 381, section 385 , clause (a) of section 386, section 389 and section 390, read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Registration of Foreign Companies) Rules, 2014 namely: -

1. (1) These rules may be called the Companies (Registration of Foreign Companies) Amendment Rules, 2024.

(2) They shall come into force with effect from 09th day of September, 2024.

2. In the Companies (Registration of Foreign Companies) Rules, 2014, -

• (i) in rule 3, in sub-rule (3), for the word, “ registrar”, the words, “Registrar, Central Registration Centre” shall be substituted.
• (ii) in rule 8, in sub-rule (1), the following proviso shall be inserted, namely:-

“Provided that the documents for registration by a foreign company referred to in sub-rule (3) of rule (3) shall be delivered in Form FC-1 to the Registrar, Central Registration Centre.”.

Note: - The principal rules were published in the Gazette of India Extraordinary, Part II, Section 3, Sub-section (i), vide number G.S.R. 266(E), dated the 31st March, 2014 and last amended, vide number G.S.R. 36 (E), dated the 20th January, 2023.
