सा.का.नि. 943(अ).—केन्द्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 149 की उपधारा (1) के दूसरे परंतुक और उपधारा (4) तथा उपधारा (6) के खंड (च) एवं धारा 150 की उपधारा (3) और उपधारा (4), धारा 151, धारा 152 की उपधारा (5), धारा 153, धारा 154, धारा 157, धारा 160, धारा 168 की उपधारा (1) तथा धारा 170 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (निदेशकों की नियुक्ति और अहर्ता) नियम, 2014 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्—

1. (1) इन नियमों का संक्षिप्त नाम कंपनी (निदेशकों की नियुक्ति और अहर्ता) संशोधन नियम, 2025 है।

(2) ये 31 मार्च, 2026 को प्रवृत्त होंगे।

2. कंपनी (निदेशकों की नियुक्ति और अहर्ता) नियम, 2014 में,

(क) नियम 11 में –

(i) उप-नियम (1) में, “क्षेत्रीय निदेशक (उत्तरी क्षेत्र), नोएडा” शब्दों और कोष्ठकों के स्थान पर “प्रादेशिक निदेशक, उत्तरी क्षेत्र निदेशालय-I” शब्द और अक्षर रखे जाएंगे।

(ii) उप-नियम (2) में –

(I) “क्षेत्रीय निदेशक (उत्तरी क्षेत्र)” शब्दों और कोष्ठकों के दोनों स्थानों पर, जहां कहीं ये आते हैं, “प्रादेशिक निदेशक, उत्तरी क्षेत्र निदेशालय-I” शब्द रखे जाएंगे।

(II) “नियम 12-क के अनुसरण में निर्धारित समय के भीतर, ई-प्ररूप डीआईआर-3-केवाईसी या वेब सेवा डीआईआर-3-केवाईसी-वेब, जैसा भी मामला हो, में अपनी विशिष्टियां” शब्दों, अक्षरों और अंकों के स्थान पर “नियम 12-क के अनुसार प्ररूप संख्या डीआईआर-3-केवाईसी वेब में अपनी विशिष्टियां” शब्द, अक्षर और अंक रखे जाएंगे।

(iii) उप-नियम (3) में, “केवल ई-प्ररूप डीआईआर-3-केवाईसी या वेब सेवा डीआईआर-3-केवाईसी-वेब, जैसा भी मामला हो”, शब्दों, अक्षरों और अंकों” के स्थान पर “प्ररूप संख्या डीआईआर-3-केवाईसी-वेब” शब्द, अक्षर और अंक रखे जाएंगे।

(ख) नियम 12क के स्थान पर, निम्नलिखित नियम रखा जाएगा, अर्थात्—

“12क : निदेशकों का केवाईसी तथा उसका अद्यतन.-

(1) प्रत्येक व्यक्ति, जिसके पास किसी वित्तीय वर्ष की 31 मार्च को निदेशक पहचान संख्या है, उसे प्रत्येक तीसरे लगातार वित्तीय वर्ष के तुरंत पश्चात आने वाली 30 जून को या उससे पहले केन्द्रीय सरकार को प्ररूप संख्या डीआईआर-3-केवाईसी वेब में केवाईसी सूचना फाइल करेगा।

(2) प्रत्येक वह व्यक्ति, जिसके पास निदेशक पहचान संख्या है, अपने व्यक्तिगत मोबाइल नंबर, ई-मेल पता अथवा आवासीय पते में परिवर्तन होने की स्थिति में, ऐसे परिवर्तन की तारीख से तीस दिनों की अवधि के भीतर, कंपनी (रजिस्ट्रीकरण कार्यालय और फीस) नियम, 2014 के अधीन यथा उपबंधित फीस के साथ प्ररूप संख्या डीआईआर-3-केवाईसी वेब प्रस्तुत करेगा।”

(ग) उपाबंध में, विद्यमान प्ररूप डीआईआर-3-केवाईसी तथा डीआईआर-3-केवाईसी-वेब के स्थान पर निम्नलिखित प्ररूप रखे जाएंगे, अर्थात्—

सत्यापन मैं यह घोषणा करता/करती हूँ कि इस प्ररूप में ऊपर दी गई विशिष्टियां सही हैं तथा इस प्ररूप के साथ संलग्न किए जा रहे दस्तावेजों के अनुरूप हैं। मैं यह भी घोषणा करता/करती हूँ कि ये विशिष्टियां नियम 12क में उपबंधित अवधि के भीतर सूचित की जा रही हैं। यदि इस आवेदन में दिया गया कोई विवरण मिथ्या पाया जाता है या किसी महत्वपूर्ण सूचना का लोप किया हुआ पाया जाता है तो मैं इस अधिनियम की धारा 448 और भारतीय न्याय संहिता, 2023 के संबंधित उपबंधों के अधीन और यथा लागू किसी अन्य विधि के अधीन दायी रहूंगा/रहूंगी।

व्यवसायिक वृत्तिक द्वारा प्रमाण पत्र मैं यह घोषणा करता/करती हूँ कि इस प्ररूप के प्रमाणीकरण के उद्देश्य से मुझे सम्यक रूप से नियुक्त किया गया है। यह प्रमाणित किया जाता है कि मैंने इस प्ररूप के विषय-वस्तु तथा उससे आनुषंगिक विषयों के संबंध में कंपनी अधिनियम, 2013 तथा उसके अधीन बनाए गए नियमों के उपबंधों का अवलोकन किया है और मैंने ऊपर दिए गए विवरणों (संलग्नक/संलग्नकों सहित) का सत्यापन कंपनी/आवेदक द्वारा अनुरक्षित मूल/प्रमाणित अभिलेखों से किया है, जो इस प्ररूप की विषय-वस्तु हैं, और उन्हें सत्य, सही तथा पूर्ण पाया है तथा इस प्ररूप से संबंधित कोई भी महत्वपूर्ण जानकारी छिपाई नहीं गई है। मैं यह और प्रमाणित करता/करती हूँ कि—

1. उक्त अभिलेखों को समुचित रूप से तैयार किया गया है, कंपनी के अपेक्षित अधिकारियों द्वारा हस्ताक्षरित किया गया है तथा कंपनी अधिनियम, 2013 के सुसंगत उपबंधों के अनुसार अनुरक्षित किया गया है और उन्हें सही पाया गया है।

3. यह समझा जाता है कि किसी भी स्तर पर यदि कोई गलत प्रमाणीकरण पाया जाता है, तो मैं कंपनी अधिनियम, 2013 की धारा 448 के अधीन कार्रवाई के लिए दायी रहूँगा/रहूँगी।

टिप्पण: कंपनी अधिनियम, 2013 की धारा 448 और धारा 449 के उपबंधों की ओर ध्यान आकर्षित किया जाता है, जो क्रमशः मिथ्या कथन/प्रमाण पत्र के लिए दंड और मिथ्या साक्ष्य के लिए दंड का उपबंध करते हैं।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 31st December, 2025

G.S.R. 943(E).—In exercise of the powers conferred under second proviso to sub-section (1), sub-section (4), clause (f) of sub-section (6) of section 149, sub-sections (3) and (4) of section 150, section 151, sub-section (5) of section 152, sections 153, 154, 157 and 160, sub-section (1) of section 168 and section 170 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Appointment and Qualification of Directors) Rules, 2014, namely: —

1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025. (2) They shall come into force on the 31st day of March, 2026.

2. In the Companies (Appointment and Qualification of Directors) Rules, 2014, - (a) in rule 11,— (i) in sub-rule (1), for the words and brackets “Regional Director (Northern Region), Noida”, the words and letter “Regional Director, Northern Region Directorate I” shall be substituted; (ii) in sub-rule (2),— (I) for the words and brackets "Regional Director (Northern Region)”, at both the places where they occur, the words and letter “Regional Director, Northern Region Directorate I” shall be substituted; (II) for the words, letters and figures “particulars in e-form DIR-3-KYC or the web service DIR-3-KYC-WEB, as the case may be, within stipulated time in accordance with rule 12A”, the words, letters and figures “particulars in Form No. DIR-3-KYC-Web in accordance with rule 12A” shall be substituted; (iii) in sub-rule (3), for the words, letters and figures “only after e-form DIR-3-KYC or the web service DIR-3-KYC-WEB, as the case may be, is filed”, the words, letters and figures “only after Form No. DIR-3-KYC Web is filed” shall be substituted; (b) for rule 12A, the following rule shall be substituted, namely:- “12A. Directors KYC and updation thereof.— (1) Every individual who holds a Director Identification Number as on the 31st March of a financial year, shall file KYC intimation in Form No. DIR-3 KYC Web to the Central Government on or before the 30th June of the immediately following every third consecutive financial year. (2) Every individual holding a Director Identification Number shall, in the event of change in his personal mobile number, email address or residential address, submit Form No. DIR-3 KYC Web within a period of thirty days of such change along with fee as provided under the Companies (Registration Offices and Fees) Rules, 2014.”; (c) in the Annexure, for the Forms “DIR-3-KYC and DIR-3- KYC-WEB”, the following Form shall be substituted, namely:-
