कारपोरेट कार्य मंत्रालय अधिसूचना नई दिल्ली, 31 दिसम्बर, 2025 सा.का.नि. 940(अ).––केन्द्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 248 की उपधारा (1), उपधारा (2) और उपधारा (4) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (कंपनी के रजिस्टर से कंपनियों का नाम हटाना) नियम, 2016 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्:- 1. संक्षिप्त शीर्षक और प्रारम्भ. - (1) इन नियमों का संक्षिप्त नाम कंपनी (कंपनी के रजिस्टर से कंपनियों का नाम हटाना) संशोधन नियम, 2025 है। (2) ये राजपत्र में उनके प्रकाशन की तारीख को प्रवृत्त होंगे। 2. कंपनी (कंपनी के रजिस्टर से कंपनियों का नाम हटाना) नियम, 2016 के, नियम 4 के, उप-नियम (3) में, परंतुक के बाद, निम्नलिखित परंतुक अंतःस्थापित किया जाएगा, अर्थात्:- "परन्तु यह भी कि किसी अन्य सरकारी कंपनी के मामले में, जिसमें उसकी सहायक कंपनियां भी शामिल हैं, केन्द्री प्रकार सरकार या राज्य सरकार द्वारा नियुक्त या नामित एक या अधिक निदेशकों के संबंध में प्ररूप एसटीके -3क में क्षतिपूर्ति सं. 854] नई दिल्ली, बुधवार, दिसम्बर 31, 2025/पौष 10, 1947

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 31st December, 2025 G.S.R. 940(E).—In exercise of the powers conferred by sub-sections (1), (2) and (4) of section 248 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016, namely:-

1. Short title and commencement.— (1) These rules may be called the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2025. (2) They shall come into force on the date of their publication in the Official Gazette.
2. In the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016, in rule 4, in sub-rule (3), after the proviso, the following proviso shall be inserted, namely: — "Provided further that in case of any other Government Company, including its subsidiaries, the indemnity bond in Form STK-3A, in respect of one or more directors appointed or nominated by the Central Government or State Government, shall be given by an authorised representative not below the rank of Under Secretary or equivalent, in the administrative Ministry or Department of the Government of India or the State Government, as the case may be, on behalf of the Company.”.
