(1) इन जनर्मों का संजिप्त नाम कंपनी (बोडय की बैिकें और इसकी िजिर्ााँ) संिोधन जनर्म, 2025 है। (2) र्े रािपत्र में इनके प्रकािन की तारीख को प्रवृत्त होंगे। 2. कंपनी (बोडय की बैिकें और इसकी िजिर्ााँ) जनर्म, 2014 के, जनर्म 11 के, उपजनर्म (2) के स्ट्थान पर जनम्नजलजखत उपजनर्म रखा िाएगा, अथायत्:- ‘(2) अजधजनर्म की धारा 186 की उपधारा (11) के खण्ड (क) के प्रर्ोिन के जलए वाक्र्ािं, “औद्योजगक उद्यमों के जवत्तपोषण का व्यवसार्” में िाजमल होंगे: सं. 725] नई दिल्ली, सोमवार, नवम् बर 3, 2025/कार्तयक 12, 1947 No. 725] NEW DELHI, MONDAY, NOVEMBER 3, 2025/KARTIKA 12, 1947 सी.जी.-डी.एल.-अ.-06112025-267408 CG-DL-E-06112025-267408 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] (i) भारतीर् ठरिवय बैंक में रजिस्ट्रीकृत गैर-बैंककारी जवत्तीर् कंपनी के संबंध में, “अपने व्यवसार् के सामान्द्र् पठरचालन में दकसी व्यजि द्वारा जलए गए दकसी ऋण की जवजहत पुनः संिार् के जलए दकसी व्यजि को कोई ऋण िेने अथवा कोई प्रत्र्ाभूजत र्ा प्रजतभूजत उपलब्ध कराने का व्यवसार्” भी है । (ii) अंतरायष्ट्रीर् जवत्तीर् सेवा केन्द्र प्राजधकरण के पास रजिस्ट्रीकृत जवत्तीर् कंपनी के संबंध में, “अपने व्यवसार् के सामान्द्र् पठरचालन में, अतयराष्ट्रीर् जवत्तीर् सेवा केन्द्र प्राजधकरण (जवत्तीर् कंपनी) जवजनर्म 2021 के जवजनर्म 5 के उप-जवजनर्म (1) के खण्ड (ii) के उपखण्ड (क), र्ा उपखण्ड (ङ) में र्था-उपबंजधत दिर्ाकलाप, भी है।”.’ [फा.सं. 1/32/2013-सीएल-v-भाग] बालामुरूगन डी., संर्ुि सजचव ठटप्पण – कंपनी (बोडय की बैिकें और इसकी िजिर्ााँ) जनर्म, 2014 भारत के रािपत्र, असाधारण, भाग-2, खण्ड -3, उपखण्ड (i) में सा.का.जन. संख्र्ा 240 (अ) तारीख 31 माचय, 2014 के द्वारा प्रकाजित दकर्े गए थे और तत्पश्चात अजधसूचना संख्र्ांक सा.का.जन 409 (अ), तारीख 15 िून, 2021 के द्वारा इसमे अंजतम बार संिोधन दकर्ा गर्ा। MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 3rd November, 2025 G.S.R. 811(E).––– In exercise of the powers conferred by sections 173, 177, 178 and 186 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Meetings of Board and its Powers) Rules, 2014, namely: — 1. (1) These rules may be called the Companies (Meetings of Board and its Powers) Amendment Rules, 2025. (2) They shall come into force on the date of their publication in the Official Gazette. 2. In the Companies (Meetings of Board and its Powers) Rules, 2014, in rule 11, for sub-rule (2), the following sub-rule shall be substituted, namely: ̶ ‘(2) For the purposes of clause (a) of sub-section (11) of section 186 of the Act, the expression “business of financing industrial enterprises” shall include ̶ (i) with regard to a Non-Banking Financial Company registered with the Reserve Bank of India, “business of giving of any loan to a person or providing any guaranty or security for due repayment of any loan availed by any person in the ordinary course of its business”; and (ii) with regard to a Finance Company registered with the International Financial Services Centres Authority, “activities as provided in sub-clause (a), or sub-clause (e) of clause (ii) of sub-regulation (1) of regulation 5 of the International Financial Services Centres Authority (Finance Company) Regulations, 2021 in the ordinary course of its business".’ [F.No. 1/32/2013-CL-V-Part] BALAMURUGAN D., Jt.
